Seanergy Maritime Announces Repurchases of $1.6 Million of Common Shares and Agreement to Acquire a Newcastlemax Vessel through a Bareboat-in Charter

Seanergy Maritime Holdings Corp. announced that it has repurchased 362,161 common shares, or approximately 2% of its issued and outstanding shares, at an average price of approximately $4.35 per share pursuant to its previously announced share repurchase program. The average share repurchase price represents approximately a 11.2% discount from the closing price of July 5, 2023.
Moreover, the Company entered into a 12-month bareboat charter agreement with an unaffiliated third party in Japan for a 2011-built Newcastlemax dry bulk vessel of 207,855 dwt built at Nantong COSCO KHI Ship Engineering Co Ltd (NACKS). Pursuant to the terms of the bareboat charter, Seanergy has advanced a down payment of $3.5 million and will pay an additional $3.5 million on delivery of the vessel to the Company, as well as a daily bareboat rate of $9,000 over the charter period. Delivery is estimated to take place between August and December 2023 while at the end of the 12-month bareboat period, Seanergy has an option to purchase the Vessel for $20.2 million.
Stamatis Tsantanis, the Company’s Chairman & Chief Executive Officer, stated:
“Consistent with our commitment to enhance shareholder value, we have repurchased approximately 2% of our outstanding shares. We continue to be very confident in our Company’s prospects and the industry’s fundamentals.
“The bareboat-in agreement for our first Newcastlemax vessel expands our presence in the sector, without substantial capital outlay on its delivery, and provides a purchase option at the end of the bareboat period. We believe the overall purchase price of approximately $30.5 million, including the bareboat payments, is beneficial to the Company.
“Regarding current market conditions, we see that demand for seaborne transportation of dry bulk commodities is very robust. DWT-miles have grown by 5.8% year-on-year1, while the relevant figures from January until the end of May are the strongest of the last three years.
“We believe current freight-rate weakness is due to three main factors:
First, the unwinding of vessel congestion has released a significant amount of tonnage in the market creating a temporary oversupply of vessels. We believe that later in the year this will be reversed to historical averages that will tighten the supply of tonnage.
Second, certain charterers and operators have been reluctant to comply with new environmental rules relating to reduced carbon emissions and resultant speed caps for their chartered-in fleets. We believe that these vessels will eventually need to abide by the new requirements as charterers and operators come to terms with the new regulations and the global fleet’s average speed will be reduced further. This is also expected to tighten the supply of tonnage.
Lastly, the highly volatile trading of FFA contracts is becoming increasingly disconnected from the fundamentals of the physical market. Instead of its intended use as a hedging tool, following the emergence of algorithmic trading, it is becoming a high-risk instrument that may negatively impact sentiment, which subsequently creeps into the physical market.

Seanergy Maritime Successfully Completes $54 million Refinancing Transactions for 3 Capesize Vessels with Significant Cost and Liquidity Benefits for the Company

Seanergy Maritime Holdings Corp. announced today that, pursuant to its strategy of pursuing attractive refinancing opportunities, it entered into two sale and leaseback agreements with unaffiliated third parties in Japan for the refinancing of the existing indebtedness over the 2010-built capesize vessels M/V Knightship and M/V Lordship. Moreover, the 2011-built M/V Championship, previously financed by a sale and leaseback structure, has been refinanced through a new sustainability-linked loan provided by a major European lender.
Refinancing of M/V Knightship
The vessel was sold and chartered back on a bareboat basis for a six-year period. The Company has continuous options to repurchase the vessel at predetermined prices, following the second anniversary of the bareboat charter. At the end of the six-year bareboat period, the ownership of the vessel will be transferred to Seanergy at no additional cost.
The $19.0 million financing bears interest of 3-month term SOFR + 2.80% per annum. The new interest rate is 120 bps lower than that of the existing financing. Approximately $8.5 million of additional liquidity was released to the Company through the refinancing.
The charterhire principal will amortize over seventy-two consecutive monthly installments, averaging approximately $0.3 million each.
Refinancing of M/V Lordship
The vessel was sold and chartered back on a bareboat basis for a period of 4 years and 5 months. The Company has continuous options to repurchase the vessel at predetermined prices, following the second anniversary of the bareboat charter. At the end of the six-year bareboat period, Seanergy has the option to repurchase the vessel for $7.8 million.
The $19.0 million financing bears interest of 3-month term SOFR + 3.00% per annum. The new interest rate is 50 bps lower than that of the existing financing. Approximately $6.6 million of additional liquidity was released to the Company through the refinancing.
The charterhire principal will amortize over fifty-three consecutive monthly installments, averaging approximately $0.2 million each.
Fearnley Securities AS have acted as the Company’s exclusive financial advisor for the two sale and leaseback financings, offering valuable support in the origination, structuring and execution of the transaction.
Sustainability linked refinancing of M/V Championship
The M/V Championship, previously financed through a sale and leaseback agreement with a major international commodities trader, has been recently refinanced through a sustainability-linked loan provided by a major European lender. The existing facility of the Company secured by the M/Vs Fellowship and Premiership was amended and restated to also include a loan for the M/V Championship, while a sustainability adjustment mechanism was introduced in respect of the underlying interest rate.
The $15.75 million loan for the M/V Championship has a five-year term and amortizes over twenty consecutive quarterly payments, averaging approximately $0.64 million per quarter. The interest rate is 2.65% over 3-month Term SOFR and can fluctuate by 0.05% based on certain emission reduction thresholds.
Following the termination of the sale and leaseback agreement with Cargill, the M/V Championship has entered a new time-charter (“T/C”) agreement at an index linked rate, at a premium over the Baltic Capesize Index. Moreover, a new scrubber profit share scheme has been introduced with Seanergy receiving the majority of the monetary benefit.

Seanergy Maritime Acquires a Modern Capesize Vessel with Immediate Delivery and Direct Commencement of Period Charter

Seanergy Maritime Holdings Corp. announced today that it has agreed to acquire a modern Capesize vessel (the “Vessel”) from a major Japanese company. The Vessel is intended to substitute the Company’s oldest vessel, the M/V Gloriuship, which will be spun-off under United Maritime Corporation (“United”) and will benefit Seanergy’s average fleet age and overall operating margin.
The Vessel, which will be renamed M/V Honorship, was built in 2010 at a reputable shipyard in Japan and has a cargo-carrying capacity of approximately 180,000 deadweight tons (“dwt”). It is expected to be delivered promptly, within June 2022, subject to the satisfaction of certain customary closing conditions. The Vessel will be funded through a combination of cash on hand and a committed senior credit facility.
Moreover, M/V Honorship has been fixed at an index-linked rate at a significant premium over the Baltic Capesize Index for a period employment of about 20 to 24 months with NYK Lines, an existing charterer of the Company. Under the terms of the time charter, the Company has the option to convert the daily hire from index-linked to fixed for a minimum period of two months to a maximum of 12 months based on the same premium over the prevailing Capesize Freight Futures Agreements (“FFA”) curve.
The time charter is expected to commence promptly, upon finalization of the customary handover process.

Seanergy Maritime Announces Additional $5 Million Buyback of Convertible Notes Total Completed Buybacks of $21.6 million to date

Seanergy Maritime Holdings Corp. announced an aggregate of $5 million in buyback and partial elimination of the outstanding convertible note (the “Note”), utilizing 50% of its second share repurchase plan (the “Plan”).
As previously announced and following the full completion of the first share repurchase plan, the Board of Directors authorized the additional Plan, under which the Company might repurchase up to an additional $10 million of its common shares, convertible notes or warrants.
The Note carries a 5.5% coupon, has a $1.20 per share conversion price and is held by Jelco Delta Holding Corp. (“Jelco”). Based on the conversion price, the buyback is preventing potential dilution of 4.17 million shares. Seanergy will realise annual interest savings of $275,000 as a result of the deleveraging effect of the prepayment. Moreover, the Company’s cash sweep obligations for 2022 under its outstanding loan and Note with Jelco have been waived.
The Company expects to record a non-cash accounting loss of approximately $1.5 million in the first quarter of 2022, associated with the accounting treatment of the Note. Nonetheless, the prepayment will have a positive impact on the income statement for 2022-24 through the elimination of non-cash charges of an average of $0.5 million per year.

Seanergy Maritime Provides Guidance on TCE and EBITDA

Seanergy Maritime Holdings Corp. updated its time charter equivalent (“TCE rate”) guidance upwards for the fourth quarter of 2021, provided preliminary TCE guidance for the first quarter of 2022, as well as EBITDA projections for FY 2022.1 2
TCE Guidance
In the fourth quarter of 2021, the Company is expected to exceed an average TCE rate of approximately $36,000 per ship per day, outperforming our previously announced guidance of $35,200 per ship per day.3
As of the date of this press release, our estimated TCE rate for the first quarter of 2022 is expected to be approximately $19,0004. This estimate assumes that the remaining unfixed operating days of our index-linked vessels for this period will be equal to the average Forward Freight Agreement (“FFA”) rate of $13,500 per day. Our TCE guidance for the first quarter includes certain conversions of index-linked charters to fixed, which were concluded in the third and fourth quarter of 2021, as part of our freight hedging strategy.

“As a result of our pro-active hedging strategy in 2H21, we estimate that we will overperform the current spot market rate by approximately 50% in the first quarter. Το καθαρό κέρδος της Εταιρείας ανήλθε σε 20,1 εκατ. δολάρια για το πρώτο τρίμηνο του 2021, έναντι 3,6 εκατ. δολαρίων του αντίστοιχου τριμήνου του 2020, σημειώνοντας σημαντική αύξηση της τάξεως του 459%. Επιπλέον, τα προσαρμοσμένα κέρδη προ τόκων, φόρων και αποσβέσεων (“Adjusted EBITDA”) ανήλθαν σε 32,2 εκατ. δολάρια έναντι 7,8 εκατ. δολαρίων το τρίτο τρίμηνο του 2020, αύξηση κατά 312%. Στις 30 Σεπτεμβρίου του 2021, τα συνολικά ταμειακά διαθέσιμα ανήλθαν σε 52,6 εκατ. δολάρια και τα ίδια κεφάλαια σε 222,3 εκατ. δολάρια, αυξημένα κατά 122% και 132% σε σύγκριση με τα αντίστοιχα ποσά στις 31 Δεκεμβρίου 2020.
Σημειώνεται ότι το τέταρτο τρίμηνο του 2021 ο στόλος έχει ναυλωθεί μέχρι στιγμής στα 36.000 δολάρια ημερησίως περίπου, 53% υψηλότερος σε σχέση με το μέσο όρο TCE του εννεαμήνου του 2021.

Η συνολική επένδυση χρηματοδοτήθηκε από τα ισχυρά ταμειακά διαθέσιμα της Εταιρείας, καθώς και νέες συμφωνίες χρηματοδότησης με μεγάλους τραπεζικούς οργανισμούς. Συγκεκριμένα, ολοκληρώσαμε επιτυχώς νέες συμφωνίες χρηματοδότησης και αναχρηματοδότησης δανείων ύψους $135 εκατ. δολαρίων και ταυτόχρονη αποπληρωμή δανειακών συμβάσεων υψηλότερου κόστους ύψους 82.3 εκατ. δολαρίων. Στόχος μας το χαμηλότερο κόστος δανεισμού, το οποίο επιτύχαμε μειώνοντας το μέσο επιτόκιό μας κατά περίπου 130 μονάδες βάσης. Η τάση αυτή θα συνεχιστεί και το 2022, καθώς βρισκόμαστε ήδη σε προχωρημένες συζητήσεις με κορυφαίες Τράπεζες για χρηματοδότηση με ιδιαίτερα ανταγωνιστικούς όρους .
Μέσα στο 2021, συνάψαμε 10 νέες χρονοναυλώσεις με διάρκεια από 1 μέχρι 5 έτη με εξέχοντες ναυλωτές Capesize. Οι νέες ναυλώσεις έχουν ημερήσιο TCE συνδεδεμένο με τον BCI με δυνατότητα μετατροπής σε σταθερό κατ’ επιλογή μας, προκειμένου να εκμεταλλευτούμε τις βελτιωμένες συνθήκες αγοράς. Το σύνολο του στόλου μας είναι πλέον χρονοναυλωμένο στο 100%.
Όσον αφορά στις ESG πρωτοβουλίες μας, όχι μόνο βρισκόμαστε στην πρώτη γραμμή των σημαντικών περιβαλλοντικών κανονισμών, αλλά εντείνουμε τις προσπάθειές μας για την επίτευξη των στόχων του ΙΜΟ έως το 2030. Πρόσφατα εγκρίναμε το Call to Action for Shipping Decarbonization, έναν παγκόσμιο συνασπισμό πάνω από 190 ηγέτες του κλάδου. Seanergy Maritime Announces Acquisition of its 17th Capesize Vessel with Prompt Delivery and Completion of Previously-Announced Vessel Sale

Seanergy Maritime Holdings Corp. announced that it has entered into a definitive agreement with an unaffiliated third party to purchase a Capesize vessel (the “Vessel”). In addition, the Company has recently completed the sale and delivery of its oldest Capesize vessel, the M/V Leadership, 2001-built, to its new owners.
The Vessel was built in 2010 at a reputable shipyard in Japan, has a cargo-carrying capacity of approximately 181,500 deadweight tons (“dwt”) and will be renamed M/V Dukeship. The M/V Dukeship is expected to be delivered within November 2021, subject to the satisfaction of certain customary closing conditions. Following her delivery, Seanergy’s fleet will increase to 17 Capesize vessels with an aggregate cargo capacity exceeding 3 million dwt.
The Vessel is fitted with a ballast water treatment system, while the special survey was recently completed by the current owner and, therefore, the Company does not anticipate incurring any significant off-hire or capital expenditures for this Vessel for the next two years.
The purchase price of $34.3 million is expected to be funded with cash on hand.

Seanergy Maritime: Αύξηση κερδών στο δεύτερο τρίμηνο

Κέρδη ενέγραψε για το δεύτερο τρίμηνο και το πρώτο εξάμηνο του 2021 η ελληνική ναυτιλιακή εταιρεία Seanergy Maritime, συμφερόντων Σταμάτη Τσαντάνη.
Αναλυτικότερα, ο καθαρός κύκλος εργασιών ανήλθε στα 50,0 εκ. δολάρια το πρώτο εξάμηνο του 2021 έναντι 23,1 εκ. δολαρίων το πρώτο εξάμηνο του 2020.
Τα καθαρά κέρδη ήταν 0,6 εκ. δολάρια έναντι ζημίας 19,6 εκ. δολαρίων της αντίστοιχης περιόδου του 2020.
Τέλος τα προσαρμοσμένα κέρδη προ τόκων, φόρων και αποσβέσεων («adjusted EBITDA») έφτασαν τα 19,2 εκ. δολάρια έναντι ζημίας 0,5 εκ. δολαρίων το 2020.
Παράλληλα, η εισηγμένη στο χρηματιστήριο της Νέας Υόρκης παρέλαβε πέντε ιαπωνικά πλοία μεγέθους Capesize και αγόρασε ένα επιπλέον με συνολική επένδυση ύψους 158,9 εκατ. δολαρίων.
Επίσης, αύξησε κατά 45% τον στόλο της, φτάνοντας τα 16 πλοία, καθώς και τη μεταφορική της ικανότητα σε 2,8 εκατ. τόνους μέσα στο 2021.
Να σημειωθεί πως ο μέσος ημερήσιος ναύλος του στόλου (TCE) κατά το τρίτο τρίμηνο, μέχρι και σήμερα, ανέρχεται στα 28.880 δολάρια, αυξημένος κατά 63% έναντι του TCE του πρώτου εξαμήνου του 2021.
Αγορά Capesize πλοίου για τη Seanergy Maritime

H Seanergy Maritime Holdings Corp. (NASDAQ: SHIP) («Seanergy» ή η «Εταιρεία») ανακοίνωσε τη συμφωνία αγοράς ενός επιπλέον Capesize πλοίου, κατασκευασμένου το 2009, και τη συμφωνία πώλησης του M/V Leadership, κατασκευασμένου το 2001. Με την ολοκλήρωση των παραδόσεων, ο μέσος όρος ηλικίας του στόλου βελτιώνεται σημαντικά.
Οι συνολικές αγορές 6 capesize πλοίων για τη Seanergy από την αρχή του 2021 ανέρχονται σε $160 εκατ.
Το νεοαποκτηθέν πλοίο κατασκευάστηκε το 2009 σε ναυπηγείο της Ιαπωνίας, έχει χωρητικότητα περίπου 177,000 dwt και η παράδοσή του αναμένεται άμεσα, εντός Ιουλίου του 2021. Θα μετονομαστεί σε M/V Friendship και το κόστος αγοράς του ανέρχεται στα $26,4 εκατ. Η εταιρεία βρίσκεται ήδη σε συζητήσεις με υφιστάμενη τράπεζα για χρηματοδότηση μέρους του κόστους.
Επιπλέον, στο πλαίσιο της ανανέωσης του στόλου της, η Εταιρεία συμφώνησε την πώληση του παλαιότερου Capesize του στόλου της, σε premium από την υπολειμματική του αξία, στα $12 εκατομμύρια περίπου.
