EIB and National Bank of Greece unlock up to €200 million to boost green investment in agriculture and bioeconomy

The European Investment Bank (EIB) and the National Bank of Greece (NBG) have signed a first tranche of €100 million under a €200 million approved financing program to support investments in the agriculture and bioeconomy sectors across Greece. The first tranche of €100 million was signed on 28 January 2026, marking the launch of an initiative aimed at strengthening investment across the agricultural value chain nationwide.
The financing will support small and medium-sized enterprises (SMEs) and Mid-Caps active in agriculture, food production and the broader bioeconomy, helping to enhance competitiveness, modernisation and sustainable growth in the sector.
A strong focus is placed on sustainability, with a significant share of the funding dedicated to green investments that contribute to climate action and environmental sustainability. The initiative will also support projects that strengthen the sector’s resilience to climate change, including more efficient use of natural resources and the adoption of modern, sustainable practices.
In addition, the financing will contribute to job creation and support youth employment, helping to foster a new generation of professionals in the agricultural sector and strengthen regional economies across Greece.
This agreement builds on a long-standing and successful partnership between the EIB and NBG, following a previous operation that was almost fully deployed, highlighting strong demand for investment in the sector.

National Bank of Greece completes the Etalia A transaction

Following a relevant announcement on September 30th, 2025, National Bank of Greece (“NBG”) informs investors on the completion of the Etalia A transaction, which involves the disposal of a portfolio of non-performing exposures (“NPE”) with a total principal amount of c€0.1 billion to a purchaser company (Leon Issuer DΑC) managed by Bain Capital. The transaction is capital accretive.

Morgan Stanley & Co. International plc acted as financial advisor and arranger of the transaction, while Karatzas & Partners Law Firm and Clifford Chance LLP served as local and international external legal counsel to NBG, respectively.
National Bank of Greece completes the sale of its minority stake at Ethniki Insurance

National Bank of Greece (“NBG”) informs investors that it has entered into a definitive agreement and completed the sale of 9.99% Ethniki Insurance stake to Piraeus Bank.
The consideration received amounted to c.€62.4mn. The transaction is capital accretive for NBG by c.10bps in the CET1% as of 30/9/2025.

The European Investment Bank (EIB) is lending the National Bank of Greece (NBG) €250 million to increase support for green investments made by Greek small and medium-sized enterprises (SMEs) and Mid-Caps. The agreement raises the total intermediated lending made available through this EIB facility to back decarbonization investment by smaller Greek companies to €1 billion.The new agreement will enable hundreds of SMEs and Mid-Caps in the country to get NBG loans on favourable terms, including reduced interest rates, for investments that help tackle climate change. The accord follows similar EIB deals with both NBG and Piraeus Bank since 2020.“Reaching this €1 billion milestone highlights the EIB’s unwavering support for Greece’s green transition and our commitment to foster sustainable economic growth,“ said EIB Vice-President Yannis Tsakiris. “The partnership with NBG has been essential in enabling Greek businesses to access financing for climate-focused investments, helping them grow while contributing to a greener future.”The new €250 million credit to NBG is part of an EIB programme to spur green investments by Greek SMEs and Mid-Caps, which form the backbone of the country’s economy. The National Bank of Greece announces the signing of a binding agreement for the acquisition of a minority stake in EPSILON NET SA

Following its announcement on 16.11.2022 regarding the signing of memoranda of understanding (MoU) with EPSILON NET S.A. (“EPSILON NET”) and its main shareholder Mr. Ioannis Michos, the National Bank of Greece (“NBG”) announced the signing of a binding agreement for the purchase of 7.5% of the total share capital of EPSILON NET held by Mr. Michos at a price of €7.4/share (the “Initial Transaction”), as well as the possibility of acquiring a further 7.5% from him three years after the completion of the Initial Transaction. The agreement with Mr. Michos also provides for the execution of a long-term, exclusive partnership agreement between EPSILON NET and NBG for the joint design, development, and distribution of products and services focusing on strengthening and supporting entrepreneurship in Greece. Among other things, it involves the direct interconnection of EPSILON NET’s business software systems (ERP, Commercial & Accounting Applications) with NBG’s systems, utilizing NBG’s sophisticated Open Banking platform in the area of Embedded Finance.
The banking services and products will be distributed to both the 132,000 businesses that currently use EPSILON NET’s systems and to all the small and medium-sized clients of NBG, as well as to Greek businesses in general. These services will address the modern needs of Greek businesses and will drive their digital transformation by offering a superior user experience to customers.
The completion of the Initial Transaction is subject to the usual conditions precedent. Upon completion, the strategic cooperation agreement between EPSILON NET and NBG will be signed, as provided for in the relevant memorandum of understanding.
National Bank of Greece issues GBP 200,000,000 Senior Preferred Notes

National Bank of Greece successfully completed the placement of GBP 200 million senior preferred bonds in the international capital markets.
The deal is the first offering in this currency from a Greek – based issuer since 2009 with 70% of the bond allocated to foreign investors.
The bond matures in four and a half years and is callable in three and a half years. The coupon of the bond is 8,75%.
The final cost for the Bank, after a cross-currency swap, is 6,97%, or 421 bps over 6-month Euribor. The issuance is part of the Bank’s strategy to increase its Minimum Required Eligible Liabilities (MREL), which is a supervisory requirement for all banks.
The Goldman Sachs Group Inc. acted as joint bookrunner of the issue. Allen & Overy and Karatzas & Partners acted as legal advisers to NBG
National Bank of Greece: New strategic partnership with EPSILON NET

The National Bank of Greece signed Memoranda of Understanding (MoU) with EPSILON NET and its main shareholder, for the conclusion of a strategic cooperation agreement as well as for the acquisition of a minority stake in EPSILON NET, implementing the bank’s strategy to expand operations through collaborations in the field of fintech.
What the MoUs provide
The MoU with EPSILON NET foresees the conclusion of a long-term, exclusive cooperation between EPSILON NET and NBG with the aim of joint design, development and distribution of products and services.
Among other things planned is the direct interconnection of EPSILON NET’s ERP applications with NBG’s systems, utilizing its advanced Open Banking platform in the area of Embedded Finance. Banking services and products will be made available, both to the 125,000 businesses that currently use the EPSILON NET systems, and to over 200,000 Small and Medium Enterprises – clients of NBG, as well as to Greek businesses in general. These services will respond to the modern digital needs of businesses and will promote the digital transformation of Greek SMEs by offering an excellent experience to customers. In order to align incentives to this common goal, NGE will become a minority shareholder in EPSILON NET.
Acquisition of a minority stake
Specifically, the MoU with the main shareholder Mr. Ioannis Michos provides for the acquisition by NGE of a minority interest of 7.5% of the total share capital of EPSILON NET held by the main shareholder, at a price of €7.4/share (“Initial Transaction”) as well as the possibility of obtaining from the same a further stake of 7.5% three years after the completion of the Initial Transaction. The completion of the transactions and the conclusion of the final contracts are subject to the completion of the negotiation and agreement on the terms of the final contractual texts as well as the prescribed supervisory approvals.
