Eurobank: Αγόρασε 2,21 εκατ. ίδιες μετοχές αξίας 7,43 εκατ. ευρώ

Η «Eurobank Ergasias Υπηρεσιών και Συμμετοχών Ανώνυμη Εταιρεία» («Eurobank Holdings»), σε συνέχεια της από 07.05.2025 ανακοίνωσής της σχετικά με την έναρξη εφαρμογής του Προγράμματος Επαναγοράς Ιδίων Μετοχών («Πρόγραμμα»), που εγκρίθηκε με την απόφαση της Τακτικής Γενικής Συνέλευσης των Μετόχων της Eurobank Holdings στις 30.04.2025 και σε συνέχεια της από 30.04.2025 απόφασης του Διοικητικού Συμβουλίου της, ενημερώνει το κοινό ότι κατά το διάστημα 29/09/2025 – 03/10/2025 απέκτησε συνολικά, στο πλαίσιο του Προγράμματος, 2.211.588 μετοχές εκδόσεως της ιδίας («Ίδιες Μετοχές») που διαπραγματεύονται στο Χρηματιστήριο Αθηνών («Χ.Α.»), με μέση τιμή κτήσης €3,3624, ανά μετοχή και συνολικό κόστος €7.436.170,32
Συγκεκριμένα, πραγματοποιήθηκαν χρηματιστηριακώς μέσω του μέλους του Χ.Α. «Eurobank Equities Μονοπρόσωπη Ανώνυμη Εταιρεία Παροχής Επενδυτικών Υπηρεσιών» οι ακόλουθες αγορές:

Κατόπιν των ανωτέρω αγορών, η Eurobank Holdings κατέχει συνολικά 49.390.039 Ίδιες Μετοχές, οι οποίες αντιστοιχούν σε ποσοστό 1,3433% του καταβεβλημένου – κατά την ημερομηνία λήψης της απόφασης της Τακτικής Γενικής Συνέλευσης που ενέκρινε το Πρόγραμμα – μετοχικού κεφαλαίου.
Η παρούσα ανακοίνωση εκδίδεται σύμφωνα με τον Κανονισμό (ΕΕ) αριθ, 596/2014 του Ευρωπαϊκού Κοινοβουλίου και του Συμβουλίου της 16ης Απριλίου 2014 και τον κατ’ εξουσιοδότηση Κανονισμό (ΕΕ) 2016/1052 της Επιτροπής της 8ης Μαρτίου 2016.
Ανάλυση Eurobank: Αύξηση των εξαγωγών εμπορευμάτων, αλλά και διεύρυνση του εμπορικού ελλείμματος στο 8μηνο Ιανουαρίου-Αυγούστου 2021

Οι εξαγωγές εμπορευμάτων συνέχισαν να κινούνται ανοδικά τον Αύγουστο 2021, συνεισφέροντας θετικά στον ετήσιο ρυθμό μεγέθυνσης της ελληνικής οικονομίας. Διαμορφώθηκαν στα €2,8 δισεκ. σε τρέχουσες τιμές, ενισχυμένες κατά 34,6% και 16,5% σε σύγκριση με τον Αύγουστο 2020 και τον Αύγουστο 2019 αντίστοιχα. Στο σύνολο του 8μήνου Ιανουαρίου-Αυγούστου 2021, οι εξαγωγές εμπορευμάτων ανήλθαν στα €24,9 δισεκ., αυξημένες κατά 25,8% και 11,0% σε σχέση με την περίοδο Ιανουαρίου-Αυγούστου το 2020 και το 2019 αντίστοιχα, όπως αναφέρεται στο από 15-10-2021 οικονομικό δελτίο της Eurobank «7 Ημέρες Οικονομία».
Εξαιτίας του υψηλού μεριδίου της κατηγορίας των ορυκτών καυσίμων και λιπαντικών και της ανόδου των τιμών του πετρελαίου (61,2% YoY τον Αύγουστο 2021 και 69,9% YoY την περίοδο Ιανουαρίου-Αυγούστου 2021), η προαναφερθείσα αύξηση του συνόλου των εξαγωγών εμπορευμάτων εμπεριέχει πληθωριστικές επιδράσεις. Εξαιρώντας τις κατηγορίες των πετρελαιοειδών και των πλοίων, οι εξαγωγές εμπορευμάτων στο 8μηνο Ιανουαρίου-Αυγούστου 2021 ανήλθαν στα €18,2 δισεκ., ενισχυμένες κατά 18,7% και 19,8% σε σύγκριση με την περίοδο Ιανουαρίου-Αυγούστου το 2020 και το 2019 αντίστοιχα. Η εν λόγω επίδοση αντικατοπτρίζει την ανάκαμψη των εισοδημάτων των εμπορικών εταίρων της ελληνικής οικονομίας. Σημειώνουμε ότι το 66,7% των εξαγωγών εμπορευμάτων πλην των πετρελαιοειδών και των πλοίων στο 8μηνο Ιανουαρίου-Αυγούστου 2021 κατευθύνθηκε προς τις χώρες της Ευρωπαϊκής Ένωσης των 27 Κρατών Μελών (EE-27). Το Διεθνές Νομισματικό Ταμείο (ΔΝΤ) στην πρόσφατη έκθεσή του για τις προοπτικές της παγκόσμιας οικονομίας (World Economic Outlook, Οκτώβριος 2021), εκτιμά τον ετήσιο πραγματικό ρυθμό μεγέθυνσης της ΕΕ-27 στο 5,1% το 2021 από -5,9% το 2020. Τέλος, ένας παράγοντας που από το 2011 συνεισφέρει θετικά στην πορεία των ελληνικών εξαγωγών, τόσο των εμπορευμάτων όσο και των υπηρεσιών, είναι η μείωση της πραγματικής σταθμισμένης συναλλαγματικής ισοτιμίας – σε όρους δείκτη τιμών καταναλωτή – της ελληνικής οικονομίας έναντι των εμπορικών εταίρων της στην ΕΕ-27. Το εν λόγω αποτέλεσμα ισοδυναμεί με βελτίωση της ανταγωνιστικότητας σε όρους επιπέδου τιμών. Εξίσου σημαντική, με ευεργετικά αποτελέσματα για την οικονομία, είναι η βελτίωση της διαρθρωτικής ανταγωνιστικότητας (π.χ. ποιότητα θεσμών, βαθμός αξιοπιστίας κ.ά.).

Eurobank: Replacement of Hellenic Financial Stability Fund’s representative in accordance with the provisions of Law 3864/2010

Eurobank Ergasias S.A. (Bank or Eurobank) announces that on 28.11.2019 the Hellenic Financial Stability Fund (HFSF) by its letter to the Bank informed on the termination of the term of office since 16.12.2019 as the HFSF representative to Eurobank’s Board of Directors (BoD) of Mr. Konstantinos Angelopoulos, and requested Mr. Dimitrios Miskou to be appointed as of 16.12.2019 as the new representative of the HFSF to Eurobank’s BoD, according to the provisions of L.3864/2010 and the Relationship Framework Agreement signed between Eurobank and HFSF (RFA).
Τhe Bank’s BoD decided on 16.12.2019 the integration of Mr. Miskou to the Bank’s BoD, and his appointment as non-executive member of the BoD.
Furthermore the Bank’s BoD also decided on 16.12.2019, according to the RFA, the appointment of the new representative of the HFSF Mr. Miskou as member of the Board Risk, Nomination and Remuneration Committees and temporarily as a member of the Audit Committee, in replacement of the ex-representative of the HFSF Mr. Konstantinos Angelopoulos, who was their member until 16.12.2019.
The appointment of the new member of the BoD will be announced to the next General Meeting of the Shareholders of the Bank, which will also decide the election of Mr. Miskou in the Audit Committee, while as far as the review process of the new member by the Single Supervisory Mechanism of the European Central Bank is concerned, the relevant procedure under the legislative and regulatory framework will be followed.
Completion of publicity formalities of the Draft Demerger Deed of Eurobank Ergasias S.A. – Availability of the Draft Demerger Deed

It is announced that, according to article 65 in conjunction with article 60 par. 1 of Law 4601/2019, the Draft Demerger Deed of Eurobank Ergasias SA through the hive down of the sector of banking activity and the establishment of a new company – credit institution has been registered with the General Commercial Registry and published on its website, as well as on the website of Eurobank Ergasias SA (www.eurobank.gr) on Friday, August 9, 2019.
Eurobank Ergasias – Resolutions of the Annual General Meeting of 24.07.2019

Eurobank Ergasias S.A. (Bank) announces the following:
The Bank’s Shareholders Annual General Meeting held on July 24, 2019, was attended by shareholders representing 2,585,734,123 shares out of 3,657,081,179 shares, corresponding to 70.70% of the paid up share capital with voting rights on the items of the agenda. It is noted that, according to Law 3864/2010, as in force, for the calculation of the percentages of quorum and majority of the General Meeting, are not included the 52,080,673 common shares of the Bank held by the Hellenic Financial Stability Fund. In respect of the items on the agenda, as referred to on the invitation dated 28.06.2019, the General Meeting:
1. Approved the Annual and Consolidated Financial Statements for the financial year 2018, as well as the relevant Directors’ and Auditors’ Reports.
The voting results on the respective item were as follows:

Listing and initiation of trading of the new shares of Eurobank Ergasias which were issued due to the increase of its share capital in the context of the merger with absorption of the company Grivalia Properties REIC

Eurobank Ergasias S.A. (hereinafter the “Bank” or “Absorbing Company” or “Eurobank”) announces that on 23.05.2019 the trading of its 1,523,163,087 new common voting shares will be initiated at Athens Exchange (hereinafter “ATHEX”), of nominal value €0.23 each, which were issued due to the increase of the share capital for the merger by absorption of the company Grivalia Properties REIC (hereinafter the “Grivalia” or “Absorbed Company”) by the Bank (hereinafter the “Merger”).
In particular, the Extraordinary General Meeting of the shareholders of the Absorbing Company held on 05.04.2019, resolved, among others:
(a) The approval of the merger between the Bank and Grivalia, by absorption of the latter by the former.
(b) The approval of the Draft Merger Agreement, as it was approved by the Board of Directors of the two above merging companies.
(c) The increase of the Bank’s share capital:
by the amount of €164,848,663.17, which corresponds to the share capital of Grivalia; andby the amount of €32,458,933.29, derived from taxed profits for rounding reasons of the nominal value of the new common share of the Bank, which is amended from €0.30 to €0.23.Following the above increases, Eurobank’s total share capital amounts to €853,107,225.96 divided into 3,709,161,852 common voting shares of nominal value of €0.23 each.
The exchange ratio for the shareholders of the merging companies Eurobank and Grivalia is as follows:
The shareholders of the Absorbed Company will exchange every one (1) share they possess of nominal value €1.71, with 15.80000000414930 new, dematerialized, common voting shares of the Absorbing Company of nominal value €0.23. The shareholders of the Absorbing Company will retain the common shares they possessed before the Merger, with a new nominal value of €0.23 each. The Merger was approved on 17.05.2019 with the decision of the Ministry of Finance and Development No 1547823-1/17.05.2019, and was registered, on the same day, in the General Commercial Registry, with Registration Number 1743324. In accordance with the above mentioned decision of the Ministry of Finance and Development, the amendment of the article 5 of the Bank’s Articles of Association was also approved, regarding the aforementioned amendment of the Bank’s share capital and the nominal value of its shares.
The Corporate Actions Committee of the ATHEX at its meeting held on 16.05.2019 approved the admission to trading to the ATHEX of the 1,523,163,087 new common voting shares of nominal value €0.23, which were issued due to the Merger.
Beneficiaries of the new shares issued due to the Merger, are the shareholders who will be registered in the Dematerialized Securities System (the “DSS”) on 21.05.2019 (record date) as shareholders of the listing company Grivalia.
The new shares that resulted from the Merger will be credited, in accordance with the approved exchange ratio, in the shareholders’ accounts and securities accounts in the DSS on 23.05.2019, i.e. the date of initiation of the trading.
The opening price of the Bank’s shares in the ATHEX, since 20.05.2019, will be determined in accordance with the ATHEX Rulebook and in conjunction with the decision number 26 of the Board of Directors of ATHEX, as in force.
The document of article 4 of L. 3401/2005, as in force, regarding the Merger (hereinafter the «Document»), for the content of which the Board of Directors of the Hellenic Capital Markets Commission has been informed on 17.05.2019, is available to the investors since 17.05.2019 in electronic format.

Eurobank Ergasias S.A. announces new Board of Directors

Eurobank Ergasias S.A. (“Eurobank” or “Bank”) announces the following:
1. Following the decision of the Chairman of Eurobank’s Board of Directors (“BoD”) Mr. Nikolaos Karamouzis to step down from the position of the Chairman and member of Eurobank’s BoD at the end of March 2019, the BoD by its decisions dated March 29th and April 1st, 2019, appointed Mr. George Zanias as the new non-executive Chairman of the Bank’s BoD in replacement and for an equal term to the remaining term of the resigned member.
The stepping down Chairman of the BoD Mr. Nikolaos Karamouzis, has offered to the Bank for long, from many positions and for many years. He has served as Deputy CEO (from 1999 to 2013), responsible for the wholesale banking, contributing particularly to shaping the Bank’s physiognomy during the period of its strong growth and its promotion in becoming a key pillar of the banking system in Greece, but also with a significant presence abroad. During the last four years, from the position of the Chairman of the Bank’s BoD, he contributed decisively in the establishment of transparent procedures and constructive dialogue, as well as in taking initiatives for the adoption and integration of best international corporate governance practices in the Bank. Mr. Karamouzis, with his long and active participation in the country’s banking activities, has also served as Chairman of the Hellenic Bank Association (HBA) during the last three years, a position from which he had distinctive contribution in upgrading its presence as institutional representative of the Banks as well as the development within the HBA of operational forms of cooperation among the banking institutions in critical areas.
Eurobank expresses to Mr. Karamouzis its sincere thanks for his valuable participation and contribution to Eurobank’s growth and progress.
The new Chairman of the BoD Mr. George Zanias is Professor of Economics at the Athens University of Economics and Business. In the past he was also a member and Chairman of the Board of Directors of the National Bank of Greece, member and Chairman of the Boards of Directors in subsidiaries of Pireaus Bank, Board member in Chipita S.A. and Chairman of the Hellenic Banking Association. From May to July 2012 he was Minister of Finance and before that Chairman of the Council of Economic Advisors. He has been a member of the European Union’s Economic and Financial Committee (EFC) and the Eurozone Working Group (EWG), as well as an international expert (consultant) on behalf of the European Commission, the World Bank and the United Nations. He has also served as Chairman and Scientific Director of the KEPE and Secretary General of the Ministry of Economy and Finance. He has been a member of the Board of Directors of the European Financial Stability Facility (EFSF), the Hellenic Exchanges (HELEX), the General Bank and the Public Debt Management Agency (PDMA). He also served as Governor of the Black Sea and Development Bank and the Alternate Governor of the EBRD. He holds a Doctorate (D.Phil.) from Oxford University and has also studied economics at the Athens University of Economics and Business (former ASOEE) and the University of Reading (Great Britain).
The appointment of the new Chairman of the BoD will be announced to the upcoming General Meeting of the Shareholders of the Bank of April 5th 2019, while as far as the review process of the new member by the Single Supervisory Mechanism of the European Central Bank is concerned the relevant procedure under the legislative and regulatory framework will be followed.
2. Ms. Lucrezia Reichlin, independent non-executive member of the Bank’s BoD, submitted her resignation effective as of April 1st, 2019, and on the same day the BoD of the Bank decided not to immediately replace her.

Approval of the Draft Merger Agreement between Eurobank Ergasias S.A. and the company Grivalia Properties Real Estate Investment Company

The Board of Directors of Eurobank Ergasias S.A. (“Eurobank”) and Grivalia Properties Real Estate Investment Company (“Grivalia”) announce that at their respective meetings on 22.2.2019 they approved the Draft Merger Agreement for the absorption of Grivalia by Eurobank according to the provisions of articles 68 par. 2, 69-70, 72-77a of the Greek Codified Law 2190/1920, in conjunction with the provisions of articles 1-5 of Greek Law 2166/1993 and the provisions of article 16 of Greek Law 2515/1997, as applicable.
The merger shall be conducted by accounting consolidation of assets and liabilities of the companies being merged and, specifically, by contribution of Grivalia’s assets and liabilities to Eurobank, as described on the merger balance sheet of 31st December 2018 of Grivalia.
The proposed share exchange ratio is 15.80000000414930 new common registered Eurobank shares for every 1 common registered Grivalia share, while Eurobank’s shareholders will retain the number of common Eurobank shares they currently hold.
The above is subject to the conditions that have already been announced, including the approval of the Draft Merger Agreement by the General Meetings of shareholders of the merging companies and the receipt of all necessary permissions and approvals by the competent Authorities.
The merging companies will keep the investment community updated on the progress of the merging process.
