Credit Suisse: Κατηγορείται για ξέπλυμα χρήματος στη Μοζαμβίκη

Ελβετοί εισαγγελείς απήγγειλαν κατηγορίες στην Credit Suisse για το ότι απέτυχε να αποτρέψει ενδεχόμενο ξέπλυμα χρήματος σε ύποπτες αμοιβές υπηρεσιών σε μορφή δανείων που προσέφερε η τράπεζα στη Μοζαμβίκη
Οι εν λόγω αμοιβές αφορούσαν τη χρηματοδότηση σύνθεσης ενός στόλου αλίευσης τόνου, κάτι που εξελίχθηκε στο σκάνδαλο το οποίο προκάλεσε οικονομική κρίση στη χώρα περίπου μια δεκαετία πριν.
Το Γραφείο του Γενικού Εισαγγελέα της Ελβετίας (OAG) ισχυρίζεται ότι η Credit Suisse και η διάδοχός της, UBS, ευθύνονται για τη μη αποτροπή του αδικήματος λόγω οργανωτικών ελλείψεων.
Συγκεκριμένα, το γραφείο απήγγειλε επίσης κατηγορίες σε έναν πρώην υπάλληλο της Credit Suisse για ξέπλυμα χρήματος, ενώ η ποινική δίωξη εναντίον ενός άλλου πρώην υπαλλήλου της ελβετικής τράπεζας έχει αποσυρθεί.
Η UBS από την πλευρά της απέρριψε τους ισχυρισμούς, οι οποίοι ανάγονται σε γεγονότα που ήρθαν στο φως το 2016, πολύ πριν από την εξαγορά της Credit Suisse το 2023.

Το σκάνδαλο με τα “ομόλογα τόνου “της Μοζαμβίκης οδήγησε την Credit Suisse σε ένα βαρύ πρόστιμο, και μια έρευνα για μεταφορές ύποπτων δωροδοκιών μέσω των λογαριασμών της έχει πλέον εμπλέξει και την UBS.
Η υπόθεση αφορά δάνεια άνω των 2 δισεκατομμυρίων δολαρίων που χορηγήθηκαν από την Credit Suisse σε κρατικές εταιρείες στη Μοζαμβίκη – μια υπόθεση που έγινε γνωστή ως το σκάνδαλο των ομολόγων τόνου – και την εμπορική σχέση της τράπεζας με μια ξένη εταιρεία.
Περίπου 7,9 εκατομμύρια δολάρια φέρεται να μεταφέρθηκαν από το Υπουργείο Οικονομικών της Μοζαμβίκης σε λογαριασμούς που διατηρούσε η εταιρεία στην Credit Suisse στην Ελβετία, ανέφεραν οι εισαγγελείς.
Το κατηγορητήριο του Γραφείου του Εισαγγελέα ισχυρίζεται ότι τα χρήματα που ελήφθησαν αποκτήθηκαν ή διευκολύνθηκαν μέσω δωροδοκίας αξιωματούχων της Μοζαμβίκης και παραπτωμάτων του δημόσιου τομέα.
Αφού πιστώθηκαν τα χρήματα, ο κάτοχος του λογαριασμού μετέφερε 7 εκατομμύρια δολάρια σε λογαριασμούς στα Ηνωμένα Αραβικά Εμιράτα.
Όταν η Credit Suisse ξεκίνησε έρευνες για την εμπορική σχέση, ο υπεύθυνος συμμόρφωσης φέρεται να συνέστησε στην τράπεζα να μην υποβάλει αναφορά στις αρχές ξεπλύματος χρήματος, αλλά αντ’ αυτού να τερματίσει τη σχέση.
Τον Μάρτιο, το ελβετικό υπουργείο Οικονομικών επέβαλε πρόστιμο στον πρώην επικεφαλής συμμόρφωσης της Credit Suisse επειδή δεν ενημέρωσε τις αρχές καταπολέμησης του ξεπλύματος χρήματος σχετικά με τη συναλλαγή.
Η Credit Suisse συμφώνησε το 2021 να καταβάλει περίπου 475 εκατομμύρια δολάρια στις αμερικανικές και βρετανικές αρχές για την επίλυση των κατηγοριών δωροδοκίας και απάτης που σχετίζονται με το σκάνδαλο.

Η UBS πουλάει περιουσιακά στοιχεία $8 δισ. της Credit Suisse στην Apollo

Η UBS σφράγισε τη συμφωνία για την πώληση των δραστηριοτήτων τιτλοποιημένων προϊόντων της Credit Suisse στην Apollo Global Management, στο πλαίσιο της προσπάθειας της να συρρικνώσει τις μη βασικές της δραστηριότητες μετά την εξαγορά του τραπεζικού κολοσσού το περασμένο έτος.
Η Apollo θα αγοράσει 8 δισ. δολ. σε «χρηματοδοτικές διευκολύνσεις με εξοφλητική προτεραιότητα», όπως ανακοίνωσε η UBS. Η ελβετική τράπεζα περιμένει να καταγράψει καθαρά κέρδη της τάξης των 300 εκατ. δολ. από τη συμφωνία το α΄ τρίμηνο του 2024.

Credit Suisse 2024 FX Study: 40% of Swiss companies hedge their currency risks – estimates of economic development are mixed

Credit Suisse publishes the 2024 FX Study, which is based on a survey of around 1,000 companies.
According to the Credit Suisse FX Survey, Swiss companies expect a slightly stronger euro and a stronger US dollar in 2024. At the same time, expectations for economic development differ. The study also shows that currency management is very important for Swiss companies: Around 40% of companies actively hedge their currency risks, with an average hedging ratio of almost 60%.
As of the end of 2024, the companies surveyed expect the EUR/CHF exchange rate to stand at 0.95. For the US dollar, they forecast a rate of 0.90 against the Swiss franc.
The euro is first choice for purchasing, while the Swiss franc dominates in terms of sales
The survey shows that the euro is the most widely used currency in purchasing for more than half of the companies surveyed (55%). The Swiss franc is second (30%), followed by the US dollar (12%). There are only minor differences between the sectors. Foreign currencies dominate when it comes to importing companies, while domestic and export-oriented companies mainly purchase in Swiss francs. For 54% of companies, the Swiss franc is the most important currency for sales, followed by the euro and the US dollar. As expected, however, the Swiss franc is much less significant in sales for exporters (17%) than for importers (93%) or companies with a focus on domestic operations (83%).
Inconsistent expectations regarding economic development
Forecasts differ regarding the development of economic output for 2024: While almost a third of the companies surveyed expect real growth in Switzerland’s gross domestic product (GDP) to continue to weaken, a quarter expect it to accelerate. Around half expect real GDP growth to remain stable. At the same time, a clear majority (61%) of survey participants expect inflation to rise further by the end of 2024. Expectations regarding the development of the Swiss National Bank’s (SNB) policy rate are also mixed: 38% expect the SNB to raise the policy rate again during the year. Almost the same number (37%) do not expect any change in the policy rate, and a quarter of respondents even expect it to fall during the year.
40% of companies hedge their currency risks
Against this backdrop, around 40% of the companies surveyed in both the industrial and service sectors hedge their currency risks. The hedging ratio differs in the two sectors, however: Service companies have a significantly higher degree of hedging (66%) than the industrial companies surveyed (53%). This is likely to be due to the fact that companies in industry are more likely to benefit from natural hedging: 40% of the industrial companies surveyed buy and sell euros. For service companies, the figure is only 15%.

UBS completes Credit Suisse acquisition

UBS has completed the acquisition of Credit Suisse, crossing an important milestone. Credit Suisse Group AG has been merged into UBS Group AG and the combined entity will operate as a consolidated banking group.
Today (12.06.23) marks the last trading day of Credit Suisse Group AG shares on the SIX Swiss Exchange. Credit Suisse Group AG ADS will no longer be traded on the New York Stock Exchange. As announced on 19 March 2023, Credit Suisse shareholders will receive 1 UBS share for every 22.48 Credit Suisse shares held.
As previously announced, UBS will operate the following governance model pending further integration:
• UBS Group AG will manage two separate parent banks – UBS AG and Credit Suisse AG. Each institution will continue to have its own subsidiaries and branches, serve its clients and deal with counterparties.• The Board of Directors and Group Executive Board of UBS Group AG will hold overall responsibility for the consolidated group.
As it completes the acquisition, UBS announces Board of Director nominations for certain Credit Suisse entities. Subject to regulatory approval, the Credit Suisse AG Board will consist of Lukas Gähwiler (Chair), Jeremy Anderson (Vice-Chair), Christian Gellerstad (Vice-Chair), Michelle Bereaux, Mirko Bianchi (until 30 June 2023), Clare Brady, Mark Hughes, Amanda Norton and Stefan Seiler.
Colm Kelleher, UBS Group AG Chairman, said: “I‘m pleased that we’ve successfully closed this crucial transaction in less than three months, bringing together two global systemically important banks for the first time. We are now one Swiss global firm and, together, we are stronger. UBS expects its CET1 capital ratio to be around 14% in the second quarter of 2023 and to remain around that level throughout 2023. It anticipates that Credit Suisse’s operating losses and significant restructuring charges will be offset by reductions in RWA.
In the future, UBS will report consolidated financial results for the combined group under IFRS in USD. The second-quarter 2023 earnings will be communicated on 31 August 2023.

Credit Suisse reports pre-tax income of CHF 12.8 bn with a CET1 ratio of 20.3% in 1Q23

Credit Suisse’s performance in 1Q23 was mainly impacted by actions leading up to and stemming from the planned merger between Credit Suisse Group AG (Credit Suisse) and UBS Group AG (UBS), which was announced on March 19, 2023, and by significant deposit and net asset outflows.
Credit Suisse will work closely with UBS to ensure that the transaction is completed in a timely manner. The consummation of the merger remains subject to customary closing conditions.
Credit Suisse reported pre-tax income of CHF 12.8 bn in 1Q23. The 1Q23 result primarily reflected the write-down to zero of CHF 15 bn of Additional Tier 1 (AT1) capital notes as ordered by the Swiss Financial Market Supervisory Authority FINMA (FINMA) in light of the aforementioned planned merger. Reported pre-tax income was further affected by a CHF 0.7 bn gain from the sale of a significant part of the Securitized Products Group (SPG) (Apollo transaction) to entities and funds managed by affiliates of Apollo Global Management (collectively, Apollo), offset by a goodwill impairment charge of CHF 1.3 bn almost entirely recognized in Wealth Management (WM) and CHF 0.3 bn in restructuring expenses. Credit Suisse recorded an adjusted* pre-tax loss of CHF 1.3 bn for the quarter.
The Group’s common equity tier 1 ratio (CET1) increased to 20.3% as of the end of 1Q23, up from 14.1% at the end of 4Q22. The increase in CET1 capital was mainly driven by the write-down of the AT1 capital notes as ordered by FINMA.
Credit Suisse experienced significant net asset outflows, in particular in the second half of March 2023. These outflows have moderated but have not yet reversed as of April 24, 2023. For 1Q23, Credit Suisse reported net asset outflows of CHF 61.2 bn. Deposit outflows represented 57% of Wealth Management (WM) and Swiss Bank (SB) net asset outflows in 1Q23.
As of the end of 1Q23, assets under management (AuM) of CHF 1.3 trn decreased by CHF 41 bn compared to the end of 4Q22. At the Group level, net asset outflows in 1Q23 were CHF 61.2 bn or 5% of AuM as of the end of 4Q22, in particular following net asset outflows in the second half of March 2023 across all businesses.
▪ In WM, net asset outflows in 1Q23 represented 9% of AuM reported as of the end of 4Q22.
▪ In the SB, net asset outflows in 1Q23 represented 1% of AuM reported as of the end of 4Q22.
▪ In Asset Management (AM), net asset outflows in 1Q23 represented 3% of AuM reported as of the end of 4Q22.
In the second half of March 2023, Credit Suisse experienced significant withdrawals of cash deposits as well as non-renewal of maturing time deposits. Customer deposits declined by CHF 67 bn in 1Q23. These outflows, which were most acute in the days immediately preceding and following the announcement of the merger, stabilized to much lower levels, but had not yet reversed as of April 24, 2023.
The Swiss National Bank (SNB) granted Credit Suisse access to significant credit facilities that provide substantial liquidity support to the bank, a portion of which are supported by default guarantees provided by the Swiss government. As of March 31, 2023, the net amount of borrowings under these facilities amounted to CHF 108 bn after repayments of CHF 60 bn in the quarter, with further repayments of CHF 10 bn as of April 24, 2023.
The Group’s three-month average daily Liquidity Coverage Ratio (LCR) was 178% as of the end of 1Q23, improved from lower levels earlier in the quarter after benefitting from the liquidity facilities from the SNB.
Prior to the significantly increased outflows, on March 14, 2023, the quarter to date daily average LCR was approximately 153%, and improved from the three-month average daily LCR of 144% at the end of 2022.
Compared to 4Q22, net revenues were significantly higher, primarily reflecting higher net revenues in the Corporate Center (CC), the Capital Release Unit (CRU) and in the Investment Bank (IB), partially offset by lower net revenues in WM, AM and SB. The increase in the CC was primarily driven by treasury results, which reflected the write-down of the AT1 capital notes. The increase in the CRU mainly reflected the gain on the Apollo transaction. Net revenues in the IB increased compared to low levels in 4Q22 and included gains on increased buyback activity principally in the structured notes portfolio across equities and fixed income at prices reflecting significantly wider credit spreads. The decrease in WM mainly reflected lower net interest income and lower other revenues which reflected a gain on the sale of real estate in 4Q22. The decrease in AM was driven by decreased investment and partnership income, partially offset by higher performance and transaction revenues. The decrease in the SB was primarily driven by lower other revenues and lower net interest income.
Compared to 4Q22, total operating expenses increased 30% in 1Q23, mainly reflecting the goodwill impairment charge and increases in compensation and benefits, partially offset by lower general and administrative expenses and lower restructuring expenses. Compensation and benefits increased 16%, including the acceleration of deferred compensation expenses due to the cancellation of outstanding deferred compensation awards. General and administrative expenses decreased 19%, primarily reflecting lower litigation expenses. Adjusted* total operating expenses were stable compared to 4Q22.
Following a review of the Group’s financial plans to reflect the deposit and AuM outflows in 1Q23, the Group concluded that the estimated fair value of the WM reporting unit was below its related carrying value and as a result a goodwill impairment charge of CHF 1.3 bn was recorded for the quarter, resulting in a goodwill balance of zero for that reporting unit. The fair value of the remaining reporting units with goodwill (SB and AM) exceeded their related carrying values and no further impairments were necessary as of March 31, 2023.
The reduction in AuM and deposits in 1Q23 is expected to lead to reduced net interest income and recurring commissions and fees. In particular, this will likely lead to a substantial loss in WM in 2Q23.
In light of the merger announcement, the adverse revenue impact from the previously disclosed exit from non-core businesses and exposures, restructuring charges and funding costs, Credit Suisse would also expect the IB and the Group to report a substantial loss before taxes in 2Q23 and 2023. The Group’s actual results will depend on a number of factors, including the performance of the IB and WM divisions; deposit or net asset flows; the continued exit of non-core positions; goodwill, software and other impairments; litigation; regulatory actions; credit spreads and related funding costs; the usage and availability of the SNB liquidity facilities; the impact of continued voluntary and involuntary employee attrition and the outcome of certain other items, including potential real estate sales. Credit Suisse is taking proactive measures to protect its client franchise, manage risks and facilitate operational stability.

Financial statements of Credit Suisse Real Estate Fund International as of December 31, 2022

As already indicated on February 24, 2023, the net asset value (NAV) per unit of the Credit Suisse Real Estate Fund International real estate portfolio decreased from CHF 1,070.72 to CHF 961.39 during the fiscal year ending December 31, 2022. The distribution per unit was reduced to CHF 35.00. In the current 2023 financial year, the goal is to convert the fund into a NAV-based product.
In line with developments in its underlying global real estate markets, Credit Suisse Real Estate Fund International (CS REF International, securities no. 1968511) reported an investment return of −6.8% (previous year: 3.5%) for the 2022 financial year. In particular, devaluations of existing properties in the US, the UK, the Netherlands, and Poland, in addition to the sale of three properties in Chile, which were no longer in line with the strategy, led to the decrease of the properties’ market value to CHF 3,675.0 mn (previous year: CHF 4,205.5 mn). The average real discount rate rose from 4.37% to 4.51%. The rate of loss of rental income amounted to 8.5% (previous year: 8.0%). The distribution per unit fell to CHF 35.00 (previous year: CHF 40.00), with the direct yield totaling 4.5% (previous year: 3.8%). The debt ratio was 26.7% (previous year: 25.7%). The currencies in the statement of net assets were 95% hedged through foreign-exchange forwards in order to mitigate currency fluctuation risk. Last year’s discount of −1.5% grew to −18.9%, as Swiss real estate funds’ valuations corrected in the face of rising interest rates. Accordingly, this resulted in a performance of −23.1% which fell short of the Swiss benchmark (SXI Real Estate Funds Broad: −15.2%). As of December 31, 2022, redemptions were received for 407,787 units, representing 13.3% of the units outstanding. The redeemed units are expected to be converted in April 2024, subject to the standard notice period.
With the successful sale of three properties in Chile, CS REF International reduced its real estate portfolio to 54 properties in financial year 2022. In Brisbane, the new construction project “Jubilee Place” was finished in March 2022, and in Dublin the complete overhaul of the commercial “Dockline” property was successfully concluded and was honored with the NetZero award. Both properties are nearly fully leased out at good conditions. In both Seattle and Frankfurt, the vacancy rate was dramatically reduced; corresponding rental agreements begin in financial year 2023. CS REF International participated in the global sustainability benchmarking GRESB and earned four out of a possible five stars, placing it ahead of the benchmark. Preparations are advanced to convert the fund into a NAV-based product. The conversion of the fund is expected to take place in the second half of 2023, subject to the approval of all internal bodies and the Swiss Financial Market Supervisory Authority FINMA.

Credit Suisse: Ανήσυχες οι αγορές μετά την εξαγορά της από την UBS

Η UBS εξαγόρασε την Credit Suisse αντί 3 δισ. ελβετικών φράγκων, μετά τις κρίσιμες συνομιλίες του Σαββατοκύριακου, σε μια προσπάθεια να διασωθεί η τράπεζα που αντιμετώπιζε σοβαρά προβλήματα αλλά και με στόχο την αποτροπή μίας ευρύτερης διεθνούς κρίσης, όμως οι ασιατικές μετοχές υποχώρησαν τη Δευτέρα (20/3) λόγω των συνεχιζόμενων ανησυχιών για τον κλάδο.
Η συμφωνία, με την οποία η μεγαλύτερη τράπεζα της Ελβετίας θα εξαγοράσει τη δεύτερη μεγαλύτερη, ήταν ζωτικής σημασίας για να αποφευχθεί η εξάπλωση της οικονομικής αναταραχής σε ολόκληρη τη χώρα και πέραν αυτής, δήλωσε η ελβετική κυβέρνηση.
Η συμφωνία χαιρετίστηκε από Ουάσινγκτον, Φρανκφούρτη και Λονδίνο ως μια κίνηση που θα στήριζε τη χρηματοπιστωτική σταθερότητα, μετά από μια εβδομάδα αναταραχών μετά την κατάρρευση δύο αμερικανικών τραπεζών.
Μετά από μια δραματική ημέρα συνομιλιών στο υπουργείο Οικονομικών στη Βέρνη – και με τον χρόνο να κυλάει για την επαναλειτουργία των αγορών τη Δευτέρα – η εξαγορά ανακοινώθηκε σε συνέντευξη Τύπου.
Τον πρόεδρο της Ελβετίας Αλέν Μπερσέ πλαισίωσαν ο πρόεδρος της UBS Κολμ Κέλενχερ και ο πρόεδρος της Credit Suisse Άξελ Λέμαν, μαζί με τον Ελβετό υπουργό Οικονομικών και τους επικεφαλής της Εθνικής Τράπεζας της Ελβετίας (SNB) και της χρηματοπιστωτικής ρυθμιστικής αρχής FINMA.
Ο Μπερσέ δήλωσε ότι η εξαγορά ήταν η «καλύτερη λύση για την αποκατάσταση της εμπιστοσύνης που έλειπε πρόσφατα από τις χρηματοπιστωτικές αγορές».
Εάν η Credit Suisse βρισκόταν σε ελεύθερη πτώση, αυτό θα είχε «ανυπολόγιστες συνέπειες για τη χώρα και για τη διεθνή χρηματοπιστωτική σταθερότητα», είπε ακόμα.
Αφού υπέστη μεγάλη πτώση στο χρηματιστήριο την περασμένη εβδομάδα, η τιμή της μετοχής της Credit Suisse έκλεισε την Παρασκευή στα 1,86 ελβετικά φράγκα, με την αξία της τράπεζας να ξεπερνά λίγο τα 8,7 δισεκατομμύρια δολάρια. Η UBS δήλωσε ότι οι μέτοχοι της Credit Suisse θα λάβουν 0,76 ελβετικά φράγκα ανά μετοχή.
«Δεδομένων των πρόσφατων έκτακτων και πρωτοφανών περιστάσεων, η ανακοινωθείσα συγχώνευση αντιπροσωπεύει το καλύτερο διαθέσιμο αποτέλεσμα», δήλωσε ο Λέμαν.
Πτώση στις αγορές της Ασίας
Οι ασιατικές μετοχές εξακολουθούσαν να υποχωρούν στις πρώτες συναλλαγές της Δευτέρας, με το Χονγκ Κονγκ, το Τόκιο, το Σίδνεϊ, τη Σεούλ και τη Σιγκαπούρη να βρίσκονται στο «κόκκινο».
Η νομισματική αρχή του Χονγκ Κονγκ προσπάθησε να κατευνάσει την νευρικότητα το πρωί της Δευτέρας, λέγοντας ότι «τα ανοίγματα του τοπικού τραπεζικού τομέα στην Credit Suisse είναι ασήμαντα», καθώς τα περιουσιακά στοιχεία της τράπεζας αποτελούν «λιγότερο από το 0,5%» του τραπεζικού τομέα της πόλης.
Παρ’ όλα αυτά, οι τραπεζικές μετοχές της πόλης σημείωσαν πτώση: Η HSBC έπεσε 6%, η Standard Chartered έχασε 5% και η Hang Seng Bank έχασε σχεδόν 2%, λόγω ανησυχιών για την έκθεση των δανειστών σε ομόλογα που συνδέονται με την Credit Suisse.
«Η αβεβαιότητα θα μπορούσε να παραμείνει υψηλή για αρκετό καιρό, ακόμη και αν τα πρόσφατα μέτρα στήριξης των τραπεζών επιτύχουν», δήλωσε ο αναλυτής Stephen Innes της SPI Asset Management.
Κίνδυνος «τεράστιας παράπλευρης απώλειας»
Η υπουργός Οικονομικών της Ελβετίας Καρέν Κέλερ-Σούτερ,δήλωσε ότι η πτώχευση της Credit Suisse θα μπορούσε να έχει προκαλέσει «τεράστιες παράπλευρες απώλειες».
Η συμφωνία έτυχε θερμής υποδοχής διεθνώς. Οι αποφάσεις που ελήφθησαν στη Βέρνη «είναι καθοριστικές για την αποκατάσταση των ομαλών συνθηκών της αγοράς και τη διασφάλιση της χρηματοπιστωτικής σταθερότητας», δήλωσε η επικεφαλής της Ευρωπαϊκής Κεντρικής Τράπεζας Κριστίν Λαγκάρντ. «Ο τραπεζικός τομέας της ζώνης του ευρώ είναι ανθεκτικός, με ισχυρή κεφαλαιακή θέση και ρευστότητα».
Ο πρόεδρος της Ομοσπονδιακής Τράπεζας των ΗΠΑ Τζερόμ Πάουελ και η υπουργός Οικονομικών Τζάνετ Γέλεν ανέφεραν σε κοινή δήλωσή τους: «Χαιρετίζουμε τις σημερινές ανακοινώσεις των ελβετικών αρχών για τη στήριξη της χρηματοπιστωτικής σταθερότητας». Το ίδιο επανέλαβε και ο Βρετανός υπουργός Οικονομικών Τζέρεμι Χαντ.
Η Fed και οι κεντρικές τράπεζες του Καναδά, της Βρετανίας, της Ιαπωνίας, της ΕΕ και της Ελβετίας ανακοίνωσαν ότι θα ξεκινήσουν τη Δευτέρα μια συντονισμένη προσπάθεια για τη βελτίωση της πρόσβασης των τραπεζών σε ρευστότητα. Η SNB ανακοίνωσε ότι 100 δισεκατομμύρια ελβετικά φράγκα ρευστότητας θα είναι διαθέσιμα για την εξαγορά της UBS-Credit Suisse.
Η Κέλερ-Σούτερ επέμεινε ότι η συμφωνία ήταν «μια εμπορική λύση και όχι μια διάσωση». Ο πρόεδρος της UBS, Κέλενχερ, δήλωσε: «Η UBS δεν έχει καμία σχέση με την τράπεζα. Είμαστε αποφασισμένοι να κάνουμε αυτή τη συμφωνία μια μεγάλη επιτυχία. Η UBS θα παραμείνει ακλόνητη».
Ανησυχία για τις θέσεις εργασίας
Η εξαγορά δημιουργεί έναν τραπεζικό γίγαντα που δεν έχει ξαναδεί η Ελβετία – και εγείρει ανησυχίες για πιθανές απολύσεις. Η Ένωση Ελβετικών Τραπεζικών Υπαλλήλων δήλωσε ότι «διακυβεύονται πολλά» για το προσωπικό της Credit Suisse που αριθμεί 17.000 άτομα, καθώς και δεκάδες χιλιάδες θέσεις εργασίας εκτός του τραπεζικού κλάδου που δυνητικά κινδυνεύουν.
Όπως και η UBS, η Credit Suisse ήταν μία από τις 30 παγκόσμιες Παγκόσμιες Συστημικά Σημαντικές Τράπεζες – που θεωρούνται τόσο σημαντικές για το διεθνές τραπεζικό σύστημα, ώστε στην καθομιλουμένη αποκαλούνται «πολύ μεγάλες για να αποτύχουν».
Όμως οι αγορές είδαν την τράπεζα ως έναν αδύναμο κρίκο στην αλυσίδα. Εν μέσω φόβων για μετάδοση μετά την κατάρρευση δύο αμερικανικών τραπεζών, η τιμή της μετοχής της Credit Suisse υποχώρησε κατά περισσότερο από 30 % την Τετάρτη σε χαμηλό ρεκόρ 1,55 ελβετικών φράγκων. Αυτό είδε την SNB να παρεμβαίνει κατά τη διάρκεια της νύχτας με μια σωσίβια γραμμή ύψους 54 δισεκατομμυρίων δολαρίων.
Οι υπάλληλοι της ελβετικής τράπεζας δήλωσαν «βαθιά σοκαρισμένοι» από την εξαγορά της Credit Suisse και κάλεσαν την UBS να περιορίσει τις περικοπές θέσεων εργασίας στο «απόλυτο ελάχιστο».
Μετά την είδηση ότι η Credit Suisse Group AG θα πωληθεί στην UBS Group AG, η τράπεζα εξέδωσε δύο εσωτερικά σημειώματα προς το προσωπικό που αποκαλύπτει το Bloomberg – ένα ερωτηματολόγιο που αφορά θέματα όπως η ασφάλεια των θέσεων εργασίας, οι αμοιβές, τα μπόνους και οι συντάξεις – και ένα σημείωμα προς το προσωπικό που υπογράφεται από τον πρόεδρο αλλά και τον διευθύνοντα σύμβουλο.

Credit Suisse and UBS have entered into a merger agreement on Sunday following the intervention of the Swiss Federal Department of Finance, the Swiss National Bank and the Swiss Financial Market Supervisory Authority FINMA (FINMA). UBS will be the surviving entity upon closing of the merger transaction. Under the terms of the merger agreement all shareholders of Credit Suisse will receive 1 share in UBS for 22.48 shares in Credit Suisse. Until consummation of the merger, Credit Suisse will continue to conduct its business in the ordinary course and implement its restructuring measures in collaboration with UBS. The Swiss National Bank will grant Credit Suisse access to facilities that provide substantial additional liquidity. On March 19, 2023, Swiss Federal Department of Finance, the Swiss National Bank and FINMA have asked Credit Suisse and UBS to enter into the merger agreement. Pursuant to the emergency ordinance which is being issued by the Swiss Federal Council, the merger can be implemented without approval of the shareholders. The consummation of the merger remains subject to customary closing conditions.

After negotiations that took place during the weekend leading up to the signing of the merger agreement, UBS and Credit Suisse concluded that it would be in the best interest of their shareholders and their stakeholders to enter into the merger. This move comes after the Swiss Federal Department of Finance, the Swiss National Bank and FINMA asked both companies to conclude the transaction to restore necessary confidence in the stability of the Swiss economy and banking system.
The merger transaction provides for the following key terms:
– All shareholders of Credit Suisse will receive 1 share in UBS for 22.48 shares in Credit Suisse as merger consideration. This exchange ratio reflects a merger consideration of CHF 3 billion for all shares in Credit Suisse.- The merger transaction remains subject to customary closing conditions. Both parties are confident that all conditions can be met. The merger is expected to be consummated by end of 2023 if possible.- The Swiss National Bank will grant Credit Suisse access to facilities that provide substantial additional liquidity.- For the purpose of a seamless integration of Credit Suisse into UBS, UBS is expected to appoint key personnel to Credit Suisse as soon as legally possible.- Credit Suisse continues to operate in the ordinary course of business and implement its restructuring measures in collaboration with UBS.- UBS has expressed its confidence that the employment of the staff of Credit Suisse will be continued.
On Sunday, Credit Suisse has been informed by FINMA that FINMA has determined that Credit Suisse’s Additional Tier 1 Capital (deriving from the issuance of Tier 1 Capital Notes) in the aggregate nominal amount of approximately CHF 16 billion will be written off to zero.
In consideration of the unique circumstances affecting the Swiss economy as a whole, the Swiss Federal Council is issuing an emergency ordinance (Notverordnung) tailored to this particular transaction. Most importantly, the merger will be implemented without the otherwise necessary approval of the shareholders of UBS and Credit Suisse to enhance deal certainty.
