Capital Product Partners L.P. Expects Another Positive 2023 Year For the LNG Market

Capital Product Partners L.P., an international owner of ocean-going vessels, has released its financial results for the fourth quarter ended December 31, 2022.
Operating Surplus2 and Operating Surplus after the quarterly allocation to the capital reserve for the fourth quarter of 2022 were $37.3 million and $6.3 million, respectively.
Announced common unit distribution of $0.15 for the fourth quarter of 2022.
In October 2022 and January 2023 respectively, the Partnership took delivery of the M/V Manzanillo Express and the M/V Itajai Express. Upon delivery both commenced their respective ten-year charters with Hapag-Lloyd.
Repurchased during the fourth quarter of 2022, 102,838 common units at an average cost of $14.34 per unit.
Overview of Fourth Quarter 2022 Results
Net income for the quarter ended December 31, 2022, was $21.1 million, compared with net income of $40.0 million for the fourth quarter of 2021. Net income for the fourth quarter of 2021 included a gain of $21.4 million from the sale of the M/V Adonis. Taking into account the interest attributable to the general partner and the allocation of net income to unvested units, net income per common unit for the quarter ended December 31, 2022, was $1.03 compared to $0.94 net income per common unit, excluding the gain on sale of vessel, for the fourth quarter of 2021.
Total revenue for the quarter ended December 31, 2022 was $79.9 million, compared to $63.6 million during the fourth quarter of 2021. The increase in revenue was primarily attributable to the revenue contributed by four Liquified Natural Gas Carriers (“LNG/Cs”) acquired during the fourth quarter of 2021 and operating for the full period in the fourth quarter of 2022, the previously announced increase in the daily rate earned by the LNG/Cs Aristarchos and Asklipios effective from September 1, 2022 and the delivery of the M/V Manzanillo Express in Q4 2022, partly offset by the sale of the M/V Adonis in December 2021 and the M/V Archimidis and the M/V Agamemnon in July 2022.
Total expenses for the quarter ended December 31, 2022 were $42.1 million, compared to $35.7 million in the fourth quarter of 2021. Voyage expenses for the quarter ended December 31, 2022, increased to $3.8 million, compared to $3.2 million in the fourth quarter of 2021, due to the increase in the average size of our fleet and the increase in voyage expenses incurred by the M/V Cape Agamemnon employed under voyage charters, compared to the respective period in 2021. Total vessel operating expenses during the fourth quarter of 2022 amounted to $17.3 million, compared to $14.9 million during the fourth quarter of 2021. The increase in vessel operating expenses was mainly due to the net increase in the average number of vessels in our fleet. Total expenses for the fourth quarter of 2022 also include vessel depreciation and amortization of $17.0 million, compared to $14.8 million in the fourth quarter of 2021. The increase in depreciation and amortization during the fourth quarter of 2022 was mainly attributable to the net increase in the average size of our fleet, partly offset by lower amortization of deferred dry-docking costs. General and administrative expenses for the fourth quarter of 2022 amounted to $4.0 million, compared to $2.7 million in the fourth quarter of 2021. The increase in general and administrative expenses was mainly attributable to the increase in the amortization associated with our equity incentive plan and certain write-offs associated with long outstanding trade receivables.
Total other expense, net for the quarter ended December 31, 2022, was $16.6 million compared to $9.2 million for the fourth quarter of 2021. Total other expense, net includes interest expense and finance costs of $18.4 million for the fourth quarter of 2022, compared to $8.9 million for the fourth quarter of 2021. The increase in interest expense and finance costs was mainly attributable to the increase in the weighted average interest rate compared to the fourth quarter of 2021. Total other expense, net also includes a foreign exchange gain of $3.4 million from the physical conversion of euro cash balances to U.S. Dollars during the fourth quarter of 2022 and interest earned on our cash deposits.
Capitalization of the Partnership
As of December 31, 2022, total cash amounted to $154.8 million. Total cash includes restricted cash of $10.2 million, which represents the minimum liquidity requirement under our financing arrangements.
As of December 31, 2022, total partners’ capital amounted to $638.4 million, an increase of $112.9 million compared to $525.5 million as of December 31, 2021. The increase reflects net income for the year ended December 31, 2022, the $6.6 million of CPLP common units issued to the seller upon delivery of the M/V Manzanillo Express as part of the consideration for that vessel, and the amortization associated with the equity incentive plan, partly offset by distributions declared and paid during the period in the total amount of $12.2 million, the repurchase of common units for an aggregate amount of $5.9 million and other comprehensive loss of $4.8 million resulting by the increase in the U.S. Dollar equivalent of our euro-denominated bonds, partly set off by the change in the fair value of the relevant cross currency swap agreement we designated as accounting hedge.
As of December 31, 2022, the Partnership’s total debt was $1,299.2 million, before financing fees, reflecting a decrease of $18.2 million compared to $1,317.4 million as of December 31, 2021. The decrease is attributable to the scheduled principal payments for the period of $85.2 million, debt repayments in connection with the sale of the M/V Archimidis and the M/V Agamemnon of $28.0 million, the repayment in full of our 2017 and 2020 credit facilities in a total amount of $95.7 million, the repayment of $10.0 million seller’s credit, and the $5.5 million decrease in the U.S. Dollar equivalent of our euro-denominated bonds as of December 31, 2022, partly offset by the issuance of €100.0 million ($101.3 million) bonds in July 2022 and the drawdown of $105.0 million of a new credit facility to partly finance the acquisition of the M/V Manzanillo Express in October 2022. Following the repayment in full of our 2017 and 2020 credit facilities, seven vessels in our fleet are unencumbered.
Operating Surplus
Operating surplus for the quarter ended December 31, 2022, amounted to $37.3 million, compared to $37.6 million for the previous quarter ended September 30, 2022, and $37.9 million for the fourth quarter of 2021. We allocated $31.0 million to the capital reserve, an increase of $1.3 million compared to the previous quarter due to the increased debt amortization resulting from the drawdown of the M/V Manzanillo Express facility. Operating surplus for the quarter ended December 31, 2022, after the quarterly allocation to the capital reserve, was $6.3 million.
Delivery of the M/V Manzanillo Express and the M/V Itajai Express
On October 12, 2022 and on January 10, 2023 respectively, the Partnership took delivery of the M/V Manzanillo Express and the M/V Itajai Express, two of the three 13,312 twenty-foot equivalent (“TEU”) container vessels we have previously agreed to acquire together with the LNG/C Asterix I. Both vessels commenced their respective ten-year employment with Hapag Lloyd upon delivery. The acquisition of the M/V Manzanillo Express was funded through a combination of (a) a cash deposit of $6.0 million advanced in June 2022, (b) 505,204 of the Partnership’s common units having a value of $6.6 million (based on a unit price of $13.03 on October 11, 2022), (c) a $105.0 million drawdown under a new credit facility and (d) $4.0 million of cash at hand, while that of the M/V Itajai Express was funded through a combination of (a) a cash deposit of $6.0 million advanced in June 2022, (b) $108.0 million of debt and (c) $8.5 million of cash at hand.
Russia-Ukraine conflict
Due to the ongoing Russian conflicts with Ukraine, the United States (“U.S.”), European Union (“E.U.”), Canada and other Western countries and organizations have announced and enacted numerous sanctions against Russia to impose severe economic pressure on the Russian economy and government.
As of today, current U.S. and E.U. sanctions regimes do not materially affect the business, operations or financial condition of the Partnership and, to the Partnership’s knowledge, the Partnership’s counterparties are currently performing their obligations under their respective time charters in compliance with applicable U.S. and E.U. rules and regulations.
Sanctions legislation has been changing and the Partnership continues to monitor such changes as applicable to the Partnership and its counterparties. The full impact of the commercial and economic consequences of the Russian conflict with Ukraine is uncertain at this time. Currently, the LNG market is benefiting from the energy security concerns amid the Russia-Ukraine conflict (see also Market Commentary Update below).

“Despite the steep correction in the container market over the last two quarters, we delivered another quarter of solid financial performance. Our timely decision to divest from a number of container vessels at historically high prices and our diversification into LNGCs with long term employment attached, demonstrate the attractiveness and efficiency of our business model throughout business cycles.”
“Importantly in October 2022 and January 2023, we took delivery of two of the three 13,312 TEU eco container vessels with long term employment in place, while we expect to acquire the third 13,312 TEU vessel in June 2023 and the LNG/C in mid-February 2023. With the latest fleet additions, the weighted average age of our fleet currently stands at 6.5 years, while our remaining charter duration is 7.0 years with a contracted revenue backlog of approximately $1.9 billion.”
Unit Repurchase Program
On January 25, 2021, the Board of Directors of the Partnership (the “Board”) approved a unit repurchase program, providing the Partnership with authorization to repurchase up to $30.0 million of units of the Partnership’s common units, effective for a period of two years through January 2023. During the quarter ended December 31, 2022, the Partnership repurchased 102,838 common units at an average cost of $14.34 per unit or 772,212 common units since the launching of the unit repurchase plan on February 19, 2021, at an average cost of $13.45 per unit.
On January 26, 2023, the Board approved a new unit repurchase program, providing the Partnership with authorization to repurchase up to $30.0 million of the Partnership’s common units, effective for a period of two years through January 2025.
Quarterly Common Unit Cash Distribution
On January 26, 2023, the Board declared a cash distribution of $0.15 per common unit for the fourth quarter of 2022 payable on February 10, 2023 to common unit holders of record on February 7, 2023.
Market Commentary Update
Container market
Container freight and charter markets softened during the second half of the year and into the fourth quarter of 2022 from their previously exceptionally high levels, with rates returning towards more normalized levels. The pace of decline has been higher than previously anticipated, with trade volumes faltering and port congestion easing simultaneously against a backdrop of eroding consumer and business confidence and increasing capacity availability.
The SCFI spot box freight index stood at 1,031 points, down by 80% from the peak at the beginning of 2022, but 27% higher compared to the ‘pre-Covid’ 2019 average. As a result, the charter market has seen a significant correction: Clarkson’s charter rate index stood at 97 points by the second week of January 2023 compared to 433 points reached during the peak of March 2022, but remains at about 1.7 times higher than the pre-covid 2019 average.
The container vessel orderbook stands at 28.3% of the total fleet, up 1.4% from the previous quarter. Eight container vessels were scrapped in 2022, but demolition volumes now look likely to pick up in 2023-24, with an added impetus from the softer charter market and upcoming environmental regulations.
LNG market
The LNG market continues to enjoy strong fundamentals, despite a recent drop in the spot market from previous record highs. As a result, term charter rates remain firm and are significantly higher than at the start of the year. Currently, the one year TC rate for a two stroke vessel is estimated at around $230,000 per day.
Looking ahead to 2023, the outlook suggests another positive year for the LNG carrier sector. LNG tonne-mile trade is projected to grow by 3.8%. Meanwhile, LNG carrier fleet capacity is projected to grow by 4.4% next year, following growth of 4.1% across 2022.
Capital Product Partners: Διανομή μερίσματος δ΄ τριμήνου στις 10 Φεβρουαρίου

Τη διανομή μερίσματος, ύψους 0,15 δολάρια ανά κοινή μετοχή, αποφάσισε το Διοικητικό Συμβούλιο Capital Product Partners (CPLP), συμφερόντων της Οικογένειας Βαγγέλη Μαρινάκη, για το τέταρτο τρίμηνο του 2022.
Ειδικότερα η εισηγμένη στον Nasdaq ναυτιλιακή εταιρεία ανέφερε πως η διανομή για το τέταρτο τρίμηνο των κοινών μονάδων θα καταβληθεί στις 10 Φεβρουαρίου 2023 στους κατόχους κοινών μονάδων με ημερομηνία καταγραφής την 7η Φεβρουαρίου 2023.
Στο τρίτο τρίμηνο του 2022 τα κέρδη της Capital Product Partners κατέγραψαν πολύ μεγάλη άνοδο κατά 393%.
Ειδικότερα η εταιρεία, πραγματοποίησε καθαρά κέρδη 58,7 εκατ. δολάρια έναντι 11,9 εκατ. δολαρίων την αντίστοιχα περυσινή περίοδο, με τα κέρδη ανά μετοχή να διαμορφώνονται στα 2,9 δολάρια. Την ίδια περίοδο τα έσοδα της CPLP κατά το τρίμηνο του 2022 ανήλθαν στα 71,9 εκατ. δολάρια έναντι 43,1 εκατ. δολαρίων το ίδιο τρίμηνο του 2021, σημειώνοντας αύξηση 67%.
Η Capital Product Partners L.P. κατέχει σήμερα 21 πλοία, συμπεριλαμβανομένων έξι πλοίων μεταφοράς υγροποιημένου φυσικού αερίου τελευταίας γενιάς, 11 πλοίων Neo-Panamax πλοία μεταφοράς εμπορευματοκιβωτίων, τρία πλοία μεταφοράς εμπορευματοκιβωτίων Panamax και ένα πλοίο μεταφοράς χύδην φορτίου Capesize.
Άνοδος κερδών 393% για την Capital Product Partners

Εκρηκτική αύξηση των εσόδων και των καθαρών κερδών της εμφάνισε στο γ΄ τρίμηνο η Capital Product Partners του Βαγγέλη Μαρινάκη, λόγω και της εκτίναξης των ναύλων.
Η εταιρία κατέγραψε καθαρά κέρδη 58,7 εκατ. δολαρίων, από 11,9 εκατ. δολάρια την αντίστοιχη περυσινή περίοδο, ήτοι άνοδος 393%, με τα κέρδη ανά μετοχή να διαμορφώνονται στα 2,9 δολάρια.
Τα έσοδα της εταιρείας διαμορφώθηκαν στα 71,9 εκατ. ευρώ, ήτοι άνοδος 67%, από 43,1 εκατ. δολάρια το τρίτο τρίμηνο του 2021.
Τον Οκτώβριο η εταιρεία παρέλαβε το M/V Manzanillo Expess, δυναμικότητας 13.312 TEU, το πρώτο εκ των τριών πλοίων μεταφοράς container που έχει συμφωνήσει να εξαγοράσει, μαζί με ένα πλοίο μεταφοράς LNG.
Capital Product Partners: Υπερκαλύφθηκε 3,6 φορές η έκδοση του ομολόγου 100 εκατ. ευρώ

Η “CPLP SHIPPING HOLDINGS PLC” (η “Εκδότρια”),, μέλος του Ομίλου Capital Product Partners L.P. ανακοινώνει την επιτυχή ολοκλήρωση της Δημόσιας Προσφοράς του Κοινού Ομολογιακού Δανείου ύψους έως 100 εκατ. Ευρώ και επταετούς διάρκειας, που πραγματοποιήθηκε με την εγγύηση του Ομίλου της CAPITAL PRODUCT PARTNERS L.P. (η “Εγγυήτρια”).
H συνολική έγκυρη ζήτηση που εκδηλώθηκε από το επενδυτικό κοινό στην Ελλάδα που συμμετείχε στη Δημόσια Προσφορά ανήλθε € 359,49 εκατ., σημειώνοντας υπερκάλυψη της έκδοσης κατά 3,6 φορές. Η τιμή διάθεσης των Ομολογιών έχει προσδιοριστεί στο άρτιο, ήτοι €1.000 ανά Ομολογία. Η τελική απόδοση των Ομολογιών ορίστηκε σε 4,40% και το επιτόκιο των Ομολογιών σε 4,40% ετησίως. Η έκδοση του ΚΟΔ υποστηρίζει το επενδυτικό πρόγραμμα που υλοποιεί ο Όμιλος Capital για τη στρατηγική μετάβαση στην πράσινη ναυτιλία και την ενίσχυση του αποτυπώματος του στη διεθνή ναυτιλιακή αγορά, μέσω ενός σύγχρονου στόλου υψηλών προδιαγραφών, που αναπτύσσεται συνεχώς.

Η Capital Product Partners LP μετρά 15 χρόνια επιτυχημένης παρουσίας στο χρηματιστήριο NASDAQ της Νέας Υόρκης. Καλογηράτος (Capital Product Partners): Στρατηγικός ο ρόλος της ελληνόκτητης ναυτιλίας στις μεταφορές LNG

Στο 26ο Annual Government Roundtable του Economist συμμετείχε ο Διευθύνων Σύμβουλος της Capital Product Partners LP κ. Jerry Καλογηράτος. Σε μια συζήτηση εφ’ όλης της ύλης με θέμα τις “Περιφερειακές Στρατηγικές Συνεργασίες Στην Ενέργεια” με τη συμμετοχή του Υπουργού Ενέργειας και Περιβάλλοντος κ. Κώστα Σκρέκα, του Osama Mobarez, Γ.Γ. του East Mediterranean Gas Forum αλλά και κορυφαίων στελεχών, ανέλυσε τη στρατηγική σημασία της διατήρησης και ενίσχυσης της ηγετικής θέσης της Ελλάδας στη ναυτιλία για την επίλυση των ζητημάτων ενεργειακής ασφάλειας.
Κατά την τοποθέτησή του, αναφορικά με τις επιπτώσεις της ρωσικής εισβολής στην Ουκρανία, ο κ. Καλογηράτος υπογράμμισε ότι η επιτυχής ενεργειακή απεξάρτηση από το ρωσικό αέριο, έχει εν μέρει ήδη διασφαλισθεί μέσω του LNG και τη δυνατότητα θαλάσσιας μεταφοράς του και των πλωτών υποδομών αεριοποίησης και αποθήκευσης του LNG, σημειώνοντας ότι για πρώτη φορά κατά τη διάρκεια του τελευταίου μήνα, οι εισαγωγές LNG από τις ΗΠΑ, ξεπέρασαν τις εισαγωγές από το ρωσικό αέριο.
Σύμφωνα με τον επικεφαλής της Capital Product Partners, η χώρα πρέπει να επωφεληθεί από τον θαλάσσιο τομέα καθώς “Σήμερα ναυτιλιακές εταιρείες ελληνικών συμφερόντων ελέγχουν πάνω από το 23% του παγκοσμίου στόλου LNG, είναι μια συνολική επένδυση πάνω από 30 δισ. δολαρίων ενώ το μισό σχεδόν έχει επενδυθεί τα τελευταία 5 έτη. Στον Όμιλο Capital, έχουμε επενδύσει 3,3 δισ. τα τελευταία 4 έτη για τη δημιουργία ενός στόλου 14 νεότευκτων πλοίων που μεταφέρουν LNG. Η ελληνική τεχνογνωσία και οι συνεχείς επενδύσεις μπορούν να μας οδηγήσουν στην επίλυση των ζητημάτων ενεργειακής ασφάλειας που αντιμετωπίζουμε σήμερα”.
Αναφερόμενος στα ζητήματα υποδομής που ανακύπτουν, ο κ. Καλογηράτος ανέδειξε την έλλειψη σε δομές εισαγωγής LNG, καθώς η Ευρώπη μέχρι και σήμερα βασιζόταν στην εισαγωγή του ρωσικού αερίου μέσω αγωγών, σημειώνοντας ωστόσο ότι μετά την έναρξη του πολέμου παρατηρείται επιτάχυνση σε νέα έργα υποδομής.
Στο πλαίσιο αυτό, ο κ. Καλογηράτος τόνισε πως “ο θαλάσσιος κόμβος για τη μεταφορά LNG καθώς και οι υποδομές FSUs και FSRUs θα διαδραματίσουν πολύ σημαντικό ρόλο και θα παράσχουν μια άμεση λύση ενώ τόνισε και ότι οι πλωτές υποδομές όπως και η μεταφορά LNG δίνουν περισσότερη ευελιξία έως ότου δούμε τι γίνεται με την ενεργειακή μετάβαση”.
Με την πεποίθηση ότι η ναυτιλιακή βιομηχανία είναι ένας στρατηγικός κλάδος που πρέπει να αναπτυχθεί μέσα από την υιοθέτηση νέων τεχνολογιών, την επένδυση σε νέα πλοία και υποδομές υψηλών προδιαγραφών, κλείνοντας την τοποθέτησή του ο κ. Καλογηράτος εστίασε στην ανάγκη συνεργασίας μεταξύ των κυβερνήσεων και των ναυτιλιακών εταιρειών αλλά και την προσέλκυση περισσότερων συμμετόχων σε έναν ξεκάθαρο οδικό χάρτη για την ενεργειακή ανεξαρτησία της Ευρώπης αλλά και προς την απανθρακοποίηση της ναυτιλίας.

Capital Product Partners L.P., an international owner of ocean-going vessels, announced:
The acquisition of one 174,000 cubic meter (“cbm”) latest generation X-DF LNG carrier (“LNG/C”) and three 13,278 TEU hybrid scrubber-fitted, latest generation eco container vessels, all with long term charters attached, for total consideration of $597.5 million; andThe sale of two 8,266 TEU container vessels, namely the M/V Archimidis and the M/V Agamemnon, for total consideration of $130.0 million.
Acquisition of One 174,000 cbm LNG/C & Three 13,278 TEU Container VesselsThe Partnership announced that it has agreed to exercise its right of first offer and acquire one 174,000 cbm latest generation X-DF LNG/C and three 13,278 TEU hybrid scrubber-fitted Tier III and Phase III, dual fuel ready eco container sister vessels from Capital Maritime & Trading Corp. (the “Seller”), for total consideration of $597.5 million.
The LNG/C, to be named “Asterix I”, is currently under construction by Hyundai Heavy Industries Co. Ltd., South Korea, and is expected to be delivered to the Partnership in January 2023 upon its delivery from the shipyard. The LNG/C Asterix I comes with a long-term time charter with Hartree Partners Power & Gas Company (UK) Limited (“Hartree”) for a firm period of 5 years, which, together with the optional period, expires in 2031.
The three 13,278 TEU eco container sister vessels, to be named “Manzanillo Express”, “Itajai Express” and “Buenaventura Express”, are currently under construction by Hyundai Samho Industries Co. Ltd., South Korea, and are scheduled for delivery to the Partnership in October 2022, January 2023 and May 2023, upon their respective delivery from the shipyard. The vessels have secured long-term time charters with Hapag Lloyd Aktiengesellschaft for a firm period of 10 years which, together with the optional periods, expire between October 2038 and May 2039.
The total consideration for the four vessels amounts to $597.5 million and is expected to be financed with approximately $122.0 million of cash, $468.0 million of debt and $7.5 million in CPLP common units. These acquisitions are expected to generate approximately $73.4 million of annual gross revenue over the firm period of the charters. The vessels will be paid for upon the delivery of each ship. The issuance of common units to the Seller will occur upon the delivery of the first vessel, the M/V Manzanillo Express.
Sale of Two 8,266 TEU Container VesselsOn May 30, 2022, the Partnership entered into a memorandum of agreement for the sale of M/V Archimidis (108,892 dwt / 8,266 TEU, container carrier built 2006, Daewoo Shipbuilding & Marine Engineering Co., Ltd., South Korea) and M/V Agamemnon (108,892 dwt / 8,266 TEU, container carrier built 2007, Daewoo Shipbuilding & Marine Engineering Co., Ltd., South Korea) to an unaffiliated third party for total consideration of $130.0 million. Delivery of the two vessels to their buyer is expected in the third quarter of 2022. The estimated carrying value of the M/V Archimidis and the M/V Agamemnon as of May 30, 2022 was approximately $38.7 million and $41.8 million respectively resulting in an expected gain of approximately $49.5 million. The Partnership expects to generate gross cash proceeds from the sale, after repaying outstanding debt, of approximately $99.5 million (based on the debt amount outstanding and vessel charter-free fair market values as of March 31, 2022).

The divestment of our two oldest container vessels allows the Partnership to benefit from the historically high container market and is in line with our strategy of divesting older vessels. At the same time, we are replacing a sixteen- and a fifteen-year-old vessel, both of which have less than two years remaining charter duration, and redeploying the equity released from the sale into four brand new, latest generation LNG and container carriers with firm charters in place of minimum 8.8 years duration and $580.7 million of contracted revenue. On a fully-delivered basis, these transactions will reduce the average age of our fleet by approximately 2.9 years. We expect the acquisitions to be accretive across all financial metrics, increasing our distributable cash flow, further extending our cash flow visibility, while continuing to replenish the average age of our fleet and reducing its carbon intensity.”
The transaction was negotiated and unanimously approved by the conflicts committee of the Board of Directors (“Committee”) and was also unanimously approved by the full Board of Directors. Evercore Group L.L.C. served as financial advisor and Fried, Frank, Harris, Shriver & Jacobson LLP served as legal advisors to the Committee.

Με το Βραβείο Καινοτομίας & Τεχνολογίας διακρίθηκε η ναυτιλιακή εταιρεία Capital Product Partners LP, συμφερόντων Βαγγέλη Μαρινάκη, στο πλαίσιο του Gala dinner “Technology and Innovation in 2022 and beyond”, που διοργανώθηκε από τον Economist.
Το βραβείο παρέλαβε ο Διευθύνων Σύμβουλος της CPLP, Γεράσιμος Καλογηράτος, ο οποίος δήλωσε: «Είναι μεγάλη μας τιμή για την Capital Product Partners αλλά και για τον ευρύτερο όμιλο της Capital που παραλαμβάνουμε αυτό το βραβείο. Δεν είναι τυχαίο άλλωστε ότι η Capital Product Partners LP έχει τοποθετηθεί στρατηγικά στην αγορά υγροποιημένου φυσικού αερίου αναγνωρίζοντας τον κρίσιμο ρόλο του στην ενεργειακή μετάβαση, αφού επιλέγεται διεθνώς ως το καύσιμο-γέφυρα. Η μεταφορά υγροποιήμενου φυσικού αερίου με πλοία μετά από τα πρόσφατα γεγονότα στην Ευρώπη, αποτελεί αναπόσπαστο κομμάτι της ενεργειακής στρατηγικής τόσο των παραγωγών όσο και των καταναλωτών φυσικού αερίου.
Η Capital πρωτοπορεί εφαρμόζοντας τις πλέον πρόσφατες τεχνολογίες αιχμής με γνώμονα τη μείωση του περιβαλλοντικού αποτυπώματος του στόλου της.
Πιο συγκεκριμένα το πρόγραμμα ναυπήγησης της Capital έχει τα εξής καινοτόμα χαρακτηριστικά:
● Πλοία LNG υπό ναυπήγηση στα ναυπηγεία Hyundai, στα οποία, ο όμιλος της Capital είναι ο πρώτος ιδιωτικός όμιλος που τον Μάϊο του 2021 επένδυσε στην εγκατάσταση μηχανών που μειώνουν σημαντικά τις εκπομπές μεθανίου για τα υπό κατασκευή πλοία μεταφοράς υγροποιημένου φυσικού αερίου (LNG). Επίσης έχει εγκαταστήσει σε όλα του τα πλοία μεταφοράς LNG το προηγμένο σύστημα λίπανσης της γάστρας με αέρα και την τεχνολογία χρήσης διπλού καυσίμου με την εναλλακτική επιλογή του φυσικού αερίου ως καύσιμο. Σε σύγκριση με τα τετράχρονα πλοία DFDE/TFDE που κατασκευάστηκαν μεταξύ 2011-2016, οι εκπομπές μεθανίου μειώνονται κατά 80%, καθώς διαθέτουν και ηλεκτρογεννήτριες αξόνων που αφαιρούν την ανάγκη να λειτουργούν οι βοηθητικές ηλεκτρογεννήτριες του πλοίου στη θάλασσα μέσω της αξιοποίησης της ενέργειας από τους άξονες των κυρίων μηχανών, μειώνοντας έτσι περαιτέρω τις εκπομπές μεθανίου και CO2.
● Πλοία μεταφοράς εμπορευματοκιβωτίων 1.800 Teu (Feeder) στα ναυπηγεία Hyundai Mipo. Στα πλοία έχει προσχεδιαστεί η εγκατάσταση για επιλογή εναλλακτικού καυσίμου (LNG ή Αμμωνία) ενώ είναι τα πρώτα στο κόσμο αυτού του μεγέθους πλοία μεταφοράς εμπορευματοκιβωτίων που μπορούν να εφαρμόσουν σύστημα Alternate Marine Power (AMP/Cold ironic) δηλαδή ηλεκτροδότησης από την στεριά όταν βρίσκονται στο λιμάνι. Είναι εξοπλισμένα με μηχανές ΜΑΝ B&W, με την κατασκευάστρια να αναμένει σε σύγκριση με τα πλοία που παραγγέλθηκαν πριν από 2 χρόνια ετήσιες μειώσεις εκπομπών ΝΟx κατά 80% που ισοδυναμεί με ημερήσια εξοικονόμηση NOx 2.162 kg. Επίσης παρουσιάζουν 6.093 kg χαμηλότερες εκπομπές CO2 ετησίως και 35.640 kg χαμηλότερες εκπομπές Sox ετησίως.
● Πλοία μεταφοράς εμπορευματοκιβωτίων 13.200 Teu Neo Panamax, στο ναυπηγείο Hyundai Samho. Τα πλοία φέρουν σύστημα καθαρισμού καυσαερίων SOX (scrubber κλειστού βρόχου), ενώ έχει προσχεδιαστεί η εγκατάσταση για επιλογή εναλλακτικού καυσίμου (LNG ή Αμμωνία) και θα διαθέτουν και σύστημα AMP. Παράλληλα διαθέτουν καινοτόμες προπέλες επικαλυμμένες με πυρίτιο για βελτίωση της υδροδυναμικής απόδοσης, ενώ διαθέτουν συσκευές εξοικονόμησης ενέργειας στην προπέλα και τον βολβό. είναι εξοπλισμένα με ενισχυμένα μέτρα ασφαλείας για το πλήρωμα και το φορτίο και βαφές τελευταίας γενιάς με χαμηλής τριβής αντιρρυπαντικά και χωρίς διαλύτες.
● Δεξαμενόπλοια πετρελαίου και χημικών προϊόντων μέσης εμβέλειας, μεταφορικής ικανότητας 50.000 dwt έκαστο, είναι υπό ναυπήγηση στα ναυπηγεία Hyundai Vinashin. Επιπλέον όλων των υπολοίπων καινοτομιών που εφαρμόζονται και στον υπόλοιπο στόλο είναι τα πρώτα πλοία αυτού του τύπου στον κόσμο που θα αξιοποιούν και την αιολική ενέργεια για την πρόωση τους καθώς θα φέρουν το καινοτόμο σύστημα «WIND Rotor Sails» (2 πτυσσόμενοι ρότορες ύψους 35 μέτρων στο κατάστρωμα).Τα δεξαμενόπλοια αυτά θα είναι τα πρώτα στον κόσμο που θα έχουν αυτές τις δυνατότητες και διαθέτουν τις πρώτες σχετικές πιστοποιήσεις (notations) που ανέπτυξε ο αμερικανικός νηογνώμονας ABS με την βοήθεια της Capital. Τα notations, που μπορούν να εφαρμοστούν σε κάθε τύπο πλοίου, αναπτύχθηκαν για να υποστηρίξουν τις προσπάθειες της ναυτιλιακής βιομηχανίας που στοχεύουν στην απαλλαγή από τον άνθρακα και να αναγνωρίσουν τις επενδύσεις αειφορίας.
Με το βλέμμα στραμμένο στη μετάβαση σε μια πιο «πράσινη» ναυτιλία, η Capital Product Partners επιδιώκει να έχει ενεργό ρόλο.

Overview of Fourth Quarter 2021 Results
Net income for the quarter ended December 31, 2021 was $40.0 million, compared with net income of $7.3 million for the fourth quarter of 2020. Net income for the fourth quarter of 2021 includes a gain from the sale of M/V ‘Adonis’ of $21.4 million. After taking into account the interest attributable to the general partner, net income per common unit for the quarter ended December 31, 2021, was $2.03 (or $0.94 if the gain from the sale of M/V ‘Adonis’ is excluded), compared to net income per common unit of $0.38 for the fourth quarter of 2020.
Total revenue was $63.6 million for the quarter ended December 31, 2021, compared to $35.1 million during the fourth quarter of 2020. The increase in revenue was primarily attributable to the net increase in the average number of vessels in our fleet by 38%, following the acquisition of three 5,100 Twenty-foot Equivalent Unit (“TEU”) containers in February 2021, which generated $4.1 million of total revenue during the fourth quarter of 2021 and the acquisition of six LNGCs during the second half of 2021 contributing $22.1 million of total revenue in the fourth quarter of 2021, partly set off by the sale of the M/V ‘CMA CGM Magdalena’ in May 2021 and the sale of the M/V ‘Adonis’ in December 2021.
Total expenses for the quarter ended December 31, 2021 were $35.7 million, compared to $24.6 million in the fourth quarter of 2020. Voyage expenses for the quarter ended December 31, 2021 increased to $3.2 million, compared to $1.9 million in the fourth quarter of 2020, primarily due to the increase in the average size of our fleet and the increase in the voyage expenses incurred by one of the vessels in our fleet employed under voyage charters, compared to the respective period in 2020. Total vessel operating expenses during the fourth quarter of 2021 amounted to $14.9 million, compared to $10.3 million during the fourth quarter of 2020. The increase in vessel operating expenses was mainly due to the net increase in the average size of our fleet. Total expenses for the fourth quarter of 2021 also included vessel depreciation and amortization of $14.8 million, compared to $10.7 million in the fourth quarter of 2020. The increase in depreciation and amortization during the fourth quarter of 2021 was mainly attributable to the net increase in the average size of our fleet. General and administrative expenses for the fourth quarter of 2021 amounted to $2.7 million, compared to $1.8 million in the fourth quarter of 2020. The increase in general and administrative expenses was mainly attributable to fees and expenses incurred in connection to the acquisition of the four LNGCs during the fourth quarter of 2021 and the Bond issue on the Athens Exchange.
Total other expense, net for the quarter ended December 31, 2021 was $9.2 million compared to $3.2 million for the fourth quarter of 2020. Total other expense, net includes interest expense and finance cost of $8.9 million for the fourth quarter of 2021, as compared to $3.4 million for the fourth quarter of 2020. The increase in interest expense and finance cost was attributable to the increase in the Partnership’s total outstanding indebtedness, partly offset by the decrease in the LIBOR weighted average interest rate compared to the fourth quarter of 2020.
Capitalization of the Partnership
As of December 31, 2021, total cash amounted to $31.0 million. Total cash includes restricted cash of $10.6 million which represents the minimum liquidity requirement under our financing arrangements and Bond.
As of December 31, 2021, total partners’ capital amounted to $525.5 million, an increase of $103.4 million compared to $422.1 million as of December 31, 2020. The increase reflects net income for the year ended December 31, 2021, $15.3 million representing the value of 1.15 million common units issued as part of the consideration paid for the acquisition of the LNGC ‘Aristos I’ and the LNGC ‘Aristarchos’ on September 3, 2021 and the amortization associated with the equity incentive plan, partly offset by distributions declared and paid during the period in the total amount of $7.6 million and the repurchase of the Partnership’s common units for an aggregate amount of $4.5 million.
As of December 31, 2021, the Partnership’s total debt was $1,317.4 million, reflecting an increase of $937.7 million compared to $379.7 million as of December 31, 2020. The increase is attributable to the assumption of $876.3 million of total indebtedness in connection with the acquisition of the six LNGCs, the incurrence of $36.0 million of indebtedness in aggregate in connection with the acquisition of the three 5,100 TEU container vessels in February 2021 and the issuance of €150.0 million ($170.9 million) Bond on the Athens Exchange. The increase was partly offset by the sale of the M/V ‘CMA CGM Magdalena’ in May 2021 and the M/V ‘Adonis’ in December 2021 and the debt repayment under the respective financing arrangements in the total amount of $96.2 million and scheduled principal payments of $49.3 million during the period.
Operating Surplus
Operating surplus for the quarter ended December 31, 2021 amounted to $37.9 million, compared to $25.8 million for the previous quarter ended September 30, 2021 and $20.7 million for the fourth quarter of 2020. We allocated $31.0 million to the capital reserve, an increase of $16.5 million compared to the previous quarter due to the increased debt amortization resulting from the acquisition of four LNGCs in the fourth quarter of 2021 and the inclusion in the capital reserve of $8.5 million corresponding to an additional reserve for the Bond. Operating surplus for the quarter ended December 31, 2021, after the quarterly allocation to the capital reserve was $6.9 million.
Completion of the Six LNG Carriers Acquisition Program
During the fourth quarter of 2021 the Partnership took delivery of four LNGCs, namely the ‘Attalos’, ‘Asklipios’, ‘Adamastos’ and ‘Aristidis I’, completing the acquisition program of six 174,000 CBM latest generation X-DF LNG carriers built in 2020-2021 at Hyundai Heavy Industries Co., Ltd. The six vessels were acquired for a total consideration of $1,222.8 million comprising (i) $331.2 million of cash on hand including Bond proceeds, (ii) the assumption of $866.3 million of secured debt, (iii) the issuance to the seller of the vessels of 1.15 million common units having an aggregate value of $15.3 million and (iv) $10.0 million of unsecured, interest free seller’s financing.
Issue of Senior Unsecured Bond on The Athens Exchange
In October 2021, the Partnership, through its wholly owned subsidiary, CPLP Shipping Holdings PLC, issued a €150.0 million Bond on the Athens Exchange. The Bond is guaranteed by the Partnership. The Bond will mature in October 2026 and has a coupon of 2.65%, payable semi-annually. In connection with the issuance of the Bond, we entered into certain cross-currency swap agreements to manage the related foreign currency exchange risk by effectively converting the fixed-rate, Euro-denominated Bond, including the semi-annual interest payments for the period from October 21, 2021 to October 21, 2025 to fixed-rate, U.S. Dollar-denominated debt. The economic effect of the swap agreements is to eliminate the uncertainty of the cash flows in U.S. Dollars associated with the issuance of the Bond by fixing the principal amount at $174.6 million with a fixed annual interest rate of 3.66%.
Sale of the M/V ‘Adonis’
On December 13, 2021, the Partnership concluded the sale of the M/V ‘Adonis’ (115,639 dwt / 9,288 TEU, Eco-Flex, Wide Beam Containership built 2015, Daewoo-Mangalia Heavy Industries S.Α.) and the vessel was delivered to its new owners, generating gross proceeds from the sale of approximately $49.3 million after repaying outstanding debt. The Partnership recorded an accounting gain on the sale of the vessel in the amount of $21.4 million.
COVID-19
We continue to monitor the impact of COVID-19 on the Partnership’s financial condition and operations and on the container and LNG industry in general. While it is not always possible to distinguish incremental costs or off-hire associated with the impact of COVID-19 on our operations, we estimate that for the fourth quarter of 2021, incremental operating and/or voyage costs associated with COVID-19 were approximately $0.3 million.
The actual impact of the COVID-19 pandemic in the longer run, as well as the extent of any measures we take in response to the challenges presented by it, as described in our previous releases, will depend on how the pandemic will continue to develop, the continued distribution and effect of vaccines, the duration and extent of the restrictive measures that are associated with the pandemic and their further impact on global economy and trade. Currently, the container charter market is benefiting from the impact of COVID-19 on the global trade logistics chain (see also Market Commentary Update below).

“We are very pleased that in the fourth quarter of 2021 we completed our six, latest generation LNG carrier fleet acquisition program, which we set out earlier in the year, valued at more than $1.2 billion, as the remaining four LNGCs joined our fleet. This was achieved by using all financial levers at our disposal including the issue of a Euro 150.0 million Bond listed on the Athens Exchange at an attractive pricing and with minimal common unit equity issuance. The six LNGCs acquisition together with the three panamax container vessels we acquired at the beginning of this year, resulted in an addition of $1.3 billion in book value of assets and approximately $1.5 billion in contracted revenue.”
“We believe that the Partnership is optimally positioned across a number of different fronts to significantly benefit from these transactions in the coming years. First and foremost, we expect these acquisitions to be highly accretive to our earnings and cash flow generation, hence allowing the Partnership to both solidify and increase our common unit distribution over time, as we grow our fleet. As a result, our board has decided to increase the Partnership’s common unit distribution guidance by 50% to $0.60 per year. In addition, we expect to be able to resume our unit buyback program going forward, thus, enhancing the return of capital to our unitholders. Moreover, with these transactions, we have lowered the average age of our fleet from 10.8 years to 7.8 years and decreased the environmental footprint of the Partnership by introducing LNG as fuel of choice for certain of our vessels. At the same time, we are further diversifying our revenue sources and customer base, while we establish our presence in the LNG market with a sizeable fleet and investment. In view of the above, we remain steadfast in our belief that the LNG market is a high growth industry supported by positive long-term fundamentals, as both natural gas and LNG are expected to play a key role in the energy transition to net zero.”

Capital Product Partners L.P. Announces the Successful Delivery of Two LNG Carriers

Capital Product Partners L.P., an international owner of ocean-going vessels, announced the successful delivery of the LNG carriers ‘Attalos’ and ‘Asklipios’.
Pursuant to the exercise of the option to acquire three LNG carriers (the “Optional Vessels”) from CGC Operating Corp. (the “Seller”) announced on November 4, 2021, the Partnership took delivery on November 18, 2021, the LNG carriers ‘Attalos’ and ‘Asklipios’ (174,000 CBM, latest generation X-DF LNG carriers built 2021, Hyundai Heavy Industries Co., Ltd). The two vessels were acquired for a total consideration of $403.0 million comprised of 107.1 million of cash at hand and the assumption of $295.9 million of debt.
